博思軟件(300525.SZ)：調整重組方案 2月8日復牌
格隆匯 2 月 7日丨博思軟件(300525.SZ)公佈，2021年2月5日，博思軟件第三屆董事會第三十二次審議通過了《關於公司調整後發行股份購買資產並募集配套資金暨關聯交易具體方案的議案》、《關於本次重組方案調整構成重大調整的議案》等本次交易的相關議案，對此次交易方案進行了調整。董事會在審議相關議案時，關聯董事迴避表決，獨立董事已就相關議案發表事前認可意見及獨立意見。
與前次交易方案相比，此次交易方案調整的主要內容如下：
綜上，此次交易的交易方案調整主要涉及標的公司估值、標的資產價格、業績承諾、上市公司發行價格、發行股份購買資產發行數量、配套募集資金髮行數量、評估基準日、審計基準日等內容，根據《重組管理辦法》及《<上市公司重大資產重組管理辦法>第二十八條、第四十五條的適用意見——證券期貨法律適用意見第15 號》的規定，上述調整構成重組方案的重大調整。
公司擬通過發行股份的方式購買致新投資、劉少華、白瑞、李先鋒、查道鵬、吳季風、侯祥欽、柯丙軍、李志國合計持有的博思致新49%股權，交易作價為22481.2萬元。
同時，公司擬向公司控股股東、實際控制人陳航定向發行股份募集配套資金1.6億元，用於支付此次交易費用、政務行業通用服務平台項目及公司補充流動資金，募集配套資金總額不超過本次交易中以發行股份方式購買資產的交易價格的100%。
此次交易前，博思軟件持有博思致新51%股權；此次交易完成後，博思軟件持有博思致新100%股權。此次非公開發行股份募集配套資金以本次發行股份購買資產為前提條件，但募集配套資金成功與否不影響此次發行股份購買資產的實施。
經公司向深圳證券交易所申請，公司股票將於2021年2月8日上午開市起復牌。此次交易尚需獲得公司股東大會審議批准及深交所審核通過並經中國證監會予以註冊，此次交易能否順利實施尚存在不確定性。
