德林控股(01709.HK)擬向陳昆發行4000萬股及不超4000萬份認股權證 集資約1.46億港元
格隆匯 2 月 5日丨德林控股(01709.HK)宣佈，於2021年2月5日，公司擬向認購方A Square Investments Group Limited(由陳昆全資擁有)配售4000萬股，佔經擴大後公司股份約2.78%。每股配售價2.15港元，較2月5日收市價折讓約15.7%。
股份認購事項所得款項總額估計為8600萬港元，而股份認購事項所得款項淨額估計約為8580萬港元。公司擬將股份認購事項所得款項淨額當中(i)約48.95%用作加強集團保證金融資服務業務的資金基礎及向客户提供保證金貸款；(ii)約41.96%用作提升集團的資本資源以發展資產管理業務；及(iii)約9.09%用作集團一般營運資金。
進一步宣佈，於2021年2月5日，公司擬向認購方A Square Investments Group Limited發行最多4000萬份認股權證。每份認股權證0.15港元，合共600萬港元，須由認購方於認股權證認購事項完成日期以現金支付。
假設完成股份認購事項及於公吿日期至緊接配發及發行認股權證股份前公司已發行股本並無進一步變動，而認股權證認購權獲全面行使，則將予配發及發行的認股權證股份最高數目相當於經配發及發行認購股份及認股權證股份擴大的已發行股份數目約2.71%。
認股權證認購事項所得款項總額估計為1.46億港元，而認股權證認購事項所得款項淨額估計約為1.456億港元。公司擬將認股權證認購事項所得款項淨額當中(i)約27.48%用作加強集團保證金融資服務業務的資金基礎及向客户提供保證金貸款；(ii)約54.95%用作提升集團的資本資源以發展資產管理業務；(iii)約5.50%用作透過聘用經驗豐富的人員以及購入系統及軟件以擴大其提供金融服務的業務以涵蓋債務證券交易；及(iv)約12.08%用作集團營運資金。
