沃格光電(603773.SH)：收購的相關公司股權及相關資產產權權屬清晰 收購過程合法合規
格隆匯 2 月 5日丨沃格光電(603773.SH)公佈，沃格光電於近期關注到有媒體發佈“是否已掌控核心資產？沃格光電2.58億併購突曝物權糾紛，盡調也遭質疑”等報道，其中提及公司收購東莞尚裕公司股權及相關資產時，是否知曉相關糾紛，公司是否已真實掌控這些房產和土地，擔保方王映齊是否具有相應的債務履約能力。為便於廣大投資者瞭解公司相關情況，公司關注到媒體報道後進行了認真核實，現予以澄清説明。
針對報道中提及的問題，澄清如下：
(一)此次收購標的公司股權及相關資產過程中，公司委託中介機構對標的公司名下資產權屬進行了全面調查，公司已充分盡到作為善意第三人的注意義務
公司於2020年6月12日召開董事會審議通過《關於擬收購東莞市尚裕實業投資有限公司及深圳市會合網絡科技有限公司股權的議案》，本次收購目的主要在於實現公司產品及業務轉型升級，擴大管理及研發團隊，並進一步提升與現有客户及終端客户的溝通效率。
公司在本次收購中，聘請了具備相關從業資質的廣東寶城律師事務所對標的公司的股權及相關資產的產權等情況進行了充分調查，並發表了專業法律意見。同時聘請了具備證券、期貨業務資格的中勤萬信會計師事務所(特殊普通合夥)及專業評估機構北京中企華資產評估有限責任公司對標的公司及相關資產進行審計與評估。
在本次收購中，對王映齊本人的個人徵信進行了充分調查，並且，公司與轉讓方東莞市尚盈實業投資有限公司、深圳市合通順商貿有限公司及擔保方王映齊簽署《股權及資產收購協議》時，明確約定“王映齊女士作為尚盈實業公司、合通順公司的股東和實際控制人，自願以其本人和家庭所有財產為轉讓方履行本協議全部條款承擔連帶擔保責任。”
(二)本次收購協議履行進展順利，標的公司股權變更和標的公司相關資產的權屬變更均已順利完成，公司已實際接收和控制所收購的標的公司全部物業
公司全資控股子公司東莞尚裕在按照協議約定繳納了相關税費後，依法取得了當地政府部門頒發的不動產權證書。收購協議簽訂後，相應股份及資產權屬變更以及所涉物業交付，均按照協議約定順利進行。沃格光電作為善意收購方，收購程序合法合規，受到法律保護。
該物業經廣東省東莞市東莞公證處的見證下，已全面接收和完成交付，公司已正常使用該物業。公司已實際控制所收購全部物業。
(三)擔保方王映齊具有相應的債務擔保能力
公司在本次收購中，對擔保方王映齊本人的個人徵信進行了充分調查，其個人資產足以覆蓋此次所擔保金額，不存在媒體所質疑的王映齊本人不具備擔保能力，並且明確約定“王映齊女士作為尚盈實業公司、合通順公司的股東和實際控制人，自願以其本人和家庭所有財產為轉讓方履行本協議全部條款承擔連帶擔保責任。”
公司作為善意第三人已合法取得所收購物業，王映齊是否有債務履約能力並不影響該物業的正常處分和使用。
綜上，此次收購的標的公司股權及相關資產產權權屬清晰，收購過程合法合規；公司已實際控制所收購的物業；公司已充分履行了作為善意第三人的注意義務，並且要求具有擔保能力和履約能力的擔保方承擔相關保證責任。
