每日互動(300766.SZ)及相關人員收到浙江證監局警示函
格隆匯 2 月 4日丨每日互動(300766.SZ)公佈，公司於近日收到中國證券監督管理委員會浙江監管局(“浙江證監局”)下發的行政監管措施決定書《關於對每日互動股份有限公司及相關人員採取出具警示函措施的決定》(〔2021〕17號)。警示函內容如下：
“每日互動股份有限公司、方毅、朱劍敏、李浩川：
2020年12月14日晚，每日互動股份有限公司(“每日互動”)披露《關於公司員工侵害公司利益並涉嫌違法犯罪的風險提示性公吿》，公司自查發現相關虛假銷售合同對公司2019年、2020年前三季度營業收入影響金額分別為3746.51萬元、2858.19萬元。
經查，每日互動2019年年度報吿及2020年第一季度報吿、半年度報吿、第三季度報吿披露的營業收入、利潤總額、歸屬於上市公司股東的淨利潤等財務數據不準確，同時存在內部控制不規範等問題。
上述行為違反了《上市公司信息披露管理辦法》第二條、第三條和《上市公司治理準則》第三條的規定。每日互動董事長兼總經理方毅、財務總監朱劍敏、董事會祕書李浩川對上述事項負有主要責任。根據《上市公司信息披露管理辦法》第五十八條、第五十九條的規定，我局決定對你們分別採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。你們應認真吸取教訓，履行勤勉盡責義務，組織公司完善內部控制，建立健全財務會計管理制度及信息披露制度並嚴格執行，切實維護全體股東利益，並於2021年2月18日前向我局提交書面報吿。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監理管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司及相關責任人員收到警示函後高度重視，將嚴格按照浙江證監局的要求積極整改，儘快向浙江證監局提交整改報吿，並將以此為鑑，充分吸取教訓，持續加強對《中華人民共和國證券法》《上市公司信息披露管理辦法》《上市公司治理準則》等相關法律、法規及規範性文件的學習，履行勤勉盡責義務，完善內部控制，提升信息披露質量，維護公司及全體股東利益，促進公司健康、穩定、持續發展。
截至目前，經杭州市西湖區人民檢察院批准，侵害公司利益的涉事人員李某，因涉嫌職務侵佔罪，已被杭州市公安局西湖區分局依法執行逮捕。公司將繼續積極跟進相關事項的進展，並採取一切措施減少該事件給公司帶來的損失，同時依據有關法律法規及深圳證券交易所的相關要求，及時披露該事項的進展情況，敬請廣大投資者謹慎決策，注意投資風險。
