成都路橋(002628.SZ)：擬與綿遂高速進行債務重組
格隆匯 2 月 3日丨成都路橋(002628.SZ)公佈，為加速應收款項清收防範經營風險，公司與四川綿陽綿遂高速公路有限公司(“綿遂高速”，曾用名四川漢龍高速公路開發有限公司)簽署《(2015)綿民初字第31號<民事判決書>執行和解協議》，就綿遂高速欠付公司的應收款項本金人民幣9244.81萬元(不含利息、遲延履行期間的債務利息、訴訟費)進行債務重組，綿遂高速向公司支付應收款項本金人民幣6471.36萬元，剩餘應收款項本金人民幣2773.44萬元及全部利息(包含利息、遲延履行期間的債務利息)視為債務重組損失。此款項收到後，涉及上述應收款項的債權債務關係完全解除。
公司於2021年2月3日召開第六屆董事會第二十三次會議和第六屆監事會第二十次會議，審議並通過了《關於與四川綿陽綿遂高速公路有限公司簽署<民事判決書>執行和解協議的議案》，公司獨立董事對該事項發表了獨立意見。債務重組協議的主要內容如下：
1、協議主體
甲方：成都市路橋工程股份有限公司；乙方：四川綿陽綿遂高速公路有限公司(曾用名四川漢龍高速公路開發有限公司)
2、協議主要內容
為妥善化解甲乙雙方之間的債權債務，甲乙雙方就(2015)綿民初字第31號《民事判決書》判令項下達成執行和解方案，就綿遂高速欠付公司的應收款項本金人民幣9244.81萬元(不含利息、遲延履行期間的債務利息、訴訟費)進行債務重組，綿遂高速向公司支付應收款項本金人民幣6471.36萬元，剩餘應收款項本金人民幣2773.44萬元及全部利息(包含利息、遲延履行期間的債務利息)視為債務重組損失。此款項收到後，涉及上述應收款項的債權債務關係完全解除。
綜合考慮綿遂高速前期債務償還和當前經營實際情況，公司此次債務重組有利於加速應收款項清收，有利於日常經營風險防範，進一步維護公司和全體股東的合法權益。
