同益股份(300538.SZ)：擬向各金融機構申請綜合授信額度不超20億元
格隆匯 2 月 2日丨同益股份(300538.SZ)公佈，為滿足公司及子公司日常經營和業務發展的資金需求，公司及子公司擬向各金融機構申請綜合授信額度總計不超過人民幣20億元(或等值外幣)，授信品類包括但不限於公司日常生產經營的長、短期貸款、銀行承兑匯票、國內信用證、國際信用證、貿易融資、保函、信用證、外匯衍生產品等。
具體授信額度、品類、期限及其他條款要求最終以公司與各金融機構簽訂的協議為準，授信期限內，授信額度可循環使用。並提請董事會授權董事長或其指定代理人在授信額度範圍內與銀行簽署相關協議及文件。此次授權決議期限自公司2021年第一次臨時股東大會審議通過之日起至2021年年度股東大會召開之日止。
為滿足子公司業務發展需要，確保其經營性資金需求，同時，為加強公司對外擔保的日常管理，增強公司對外擔保行為的計劃性與合理性，公司計劃為香港同益實業有限公司(“香港同益”)、蘇州創益塑料有限公司(“蘇州創益”)、深圳市前海同益科技服務有限公司(“前海同益”)、深圳市同益智聯科技有限公司(“同益智聯”)、深圳市前海同益科技研發有限公司(“前海科技”)、青島同益新材料有限公司(“青島同益”)、深圳市同益智顯科技有限公司(“同益智顯”)、同益盈喜科技(香港)有限公司(“香港盈喜”)、香港同益智聯科技有限公司(“香港智聯”)、惠州市同益高分子材料科技有限公司(“惠州高分子”)、惠州市同益尖端新材料科技有限公司(“惠州尖端”)、深圳市同益盈喜科技有限公司(“深圳盈喜”)、ADVANCED
MATERIALS RESEARCH INC(“美國同益”)等子公司進行擔保，額度不超過人民幣12億元(或等值外幣)。擔保方式包括但不限於連帶責任保證擔保、以持有下屬公司的股權提供質押擔保、其他資產抵質押等多種金融擔保方式。
