*ST大洲(000571.SZ)：224廠註冊資本擬增至1億比索
格隆匯 2 月 2日丨*ST大洲(000571.SZ)公佈，LORSINAL S.A.(“224廠”)是公司的三級子公司恆陽拉美投資控股有限公司(Foresun(Latin-America) Investment and Holding, S.L.，“恆陽拉美”)持股50%的一家烏拉圭屠宰企業。
根據《股份購買協議》及之後調整的224廠流動資金投入計劃，原擬定由另一方股東Roberto Pérez投入流動資金，我方不投入流動資金，但需按照年息8%支付其中一半的流動資金(175萬美元)的利息，後調整為雙方股東各借款給224廠92.163萬美元用於經營，雙方股東均不收取借款利息。借款期限為2017年9月11日至2018年9月30日。由於恆陽拉美資金緊張，2018年1月17日，恆陽拉美與Roberto Pérez簽署了《借款合同》，約定Roberto Pérez於2017年9月11日向恆陽拉美提供貸款，金額為92.163萬美元。恆陽拉美向Roberto Pérez每兩個月按照年息8%支付補償性利息。除上述約定外，恆陽拉美承諾如果在約定的到期日未償還借款，則在違約期間按年息8%支付違約利息。
因上述借款到期後未能歸還股東Roberto Pérez，2020年3月，224廠股東會審議並通過決議，同意將雙方股東借款給224廠的184.326萬美元轉為對224廠的出資。註冊資本由6000萬比索增為1億比索，增資後各股東持股比例不變，並修改章程。根據烏拉圭法律規定，所有者權益淨額不得低於註冊資本的50%，因此需彌補以前年度虧損。
上述財務資助事項是雙方股東借款給224廠用於經營，目的是緩解資金壓力，提升企業經營效益；債轉資事項的目的是優化224廠的資產負債結構、提升融資能力。上述增資方案實施後，224廠仍為公司參股子公司，不會導致公司合併報表範圍的變動，對公司本期經營業績不會產生重大影響。
