第一太平(00142.HK)：MPIC收購PTSI合共50%的間接權益
格隆匯 2 月 1日丨第一太平(00142.HK)發佈公吿，MPIC(為集團間接持有43.1%經濟權益的菲律賓聯號公司)及KIT(獨立第三方)與該等賣方於2020年12月8日訂立買賣協議，據此，MPIC及KIT(作為該等買方)同意各別地購買(或各自促使一間指明附屬公司各別地購買)該等銷售股份(相等於PTSI已發行股本總額的100%)。該等銷售股份的買賣協議代價共約為3.338億美元(相等於約26.036億港元)，須於買賣協議完成時以現金悉數支付，並可作出調整。
根據買賣協議： (a)MPIC同意以約6680萬美元(相等於約5.21億港元)(可予調整)的購買價購買(或促使一間指明附屬公司購買)MPIC銷售股份(相等於PTSI已發行股本總額的20%)；及(b)KIT同意以2.67億美元(相等於約20.826億港元)(可予調整)的購買價購買(或促使一間指明附屬公司購買)KIT銷售股份(相等於PTSI已發行股本總額的 80%)。買賣協議完成已在2021年1月29日作實。
緊接買賣協議完成後，2021年1月29日，Bay Philippines與MPIC訂立銷售契據，據此，MPIC同意購買而Bay Philippines同意出售控股公司股份(相等於菲律賓控股公司股本中約30%的股份)，總代價約41.262億菲律賓披索(相等於約8580萬美元或6.691億港元)。契據完成已與於2021年1月29日訂立銷售契據的時同時作實。
買賣協議完成及契據完成後，集團將間接擁有PTSI已發行股本總額約50% 的權益而PTSI的財務業績將按權益法作為集團的共同控制實體入賬。PTSI全資擁有PCSPC，而PCSPC是菲律賓最大的石油產品進口油庫碼頭，位於菲律賓蘇比克灣自由港區的戰略位置。透過PTSI收購PCSPC將令集團的投資組合進一步多元化。收購PCSPC的股權將為MPIC及集團帶來遞增盈利。
