神州租車(0699.HK)私有化要約正式開始 與MBK Partners聯合發佈綜合文件
格隆匯1月31日丨MBK Partners旗下全資擁有的私募基金Indigo Glamour Company Limited和神州租車有限公司(0699.HK)聯合發佈了關於附條件的自願性全面現金收購要約的綜合文件，此舉意味着神州租車私有化要約正式開始。本次要約收購價為每股4港元，較2020年11月13日（首次宣佈自願性全面現金要約收購公吿日期）止30個交易日按聯交所所報每日收市價計算的平均收市價每股股份約2.63港元有約52.17%的溢價。
於最後交易日前6個月（含最後交易日），神州租車股份的日均交易量約為11,513,872股，僅佔最後交易日已發行流通股總數的約0.54%。由於股份交易量較少，股東難以在不對股價造成任何下行壓力的情況下，在市場上大量出售股份。相反，這次要約不僅為股東提供機會，以具吸引力的溢價即時變現對公司的投資，而且在汽車租賃行業充滿挑戰的環境中，促進公司業務的必要性轉型。
同時，MBK Partners已經獲得神州租車已發行股本47％的支持，其中包括神州租車最大股東聯想控股的26.55％不可撤銷承諾和早前從公司股東神州優車手中收購的20.86％股權。這些主要股東的支持也是收購價格具有吸引力的有力佐證。
MBK Partners成立於2005年，是亞洲最大的私募股權基金之一，管理着超過230億美元的資本，專注於北亞市場。在過去的15年裏，安博凱一直保持着強勁的業績，44家投資組合公司總營收超過441億美元。其在汽車租賃行業也有豐富的投資經驗，投資了包括中國領先的汽車租賃公司一嗨租車（少數股權），以及韓國最大的汽車租賃企業KT Rental。
