格隆匯1月29日丨洛陽鉬業(03993.HK)公吿，於2021年1月29日，公司董事會會議審議通過關於公司2021年度預算的議案，結合2021年全球經濟研判、供求關係變化，並充分考慮公司可持續發展實際，以降本增效、提升管理水平和積極發掘現有業務內生性增長潛力為總體目標，公司制定的2021年度公司各業務板塊主要產品產量預算為：銅、鈷業務：銅金屬產量18.73萬噸至22.89萬噸；鈷金屬產量1.65萬噸至2.01萬噸；鉬、鎢業務：鉬金屬產量1.38萬噸至1.69萬噸，其中合營公司洛陽富川礦業有限公司鉬金屬產量0.38萬噸至0.46萬噸；鎢金屬產量0.69萬噸至0.84萬噸（不含洛陽豫鷺礦業有限責任公司）；銅、金業務（80%權益計算）：NPM銅金屬產量2.41萬噸至2.94萬噸；黃金產量2.13萬盎司至2.60萬盎司；鈮、磷業務：鈮金屬產量0.87萬噸至1.06萬噸；磷肥（高濃度化肥+低濃度化肥）產量99.9萬噸至122.1萬噸。礦產貿易業務：實物貿易量479萬噸至585萬噸。
審議通過關於使用閒置自有資金購買理財或委託理財產品的議案。在確保公司日常運營、資金安全、操作合規、風險可控的前提下，董事會同意公司使用閒置自有資金擇機、分階段購買安全性高、流動性好的理財或委託理財產品，公司購買的該等未到期理財或委託理財投資餘額不得超過人民幣100億元（或等值外幣），前述額度內的資金可滾動使用。
審議通過關於對全資子公司提供擔保的議案，公司同意提請股東大會授權董事會決定並處理公司直接或通過全資子公司（含直接及間接全資子公司，下同）為其他全資子公司合計提供最高餘額不超過人民幣350億元（或等值外幣）授信額度擔保。
審議通過關於公司間接全資子公司IXM向供應商提供供應鏈融資擔保的議案。為便於公司間接全資子公司IXMB.V及其子公司、成員單位金屬貿易等業務的持續、穩定開展，董事會同意提請股東大會授權董事會決定並處理IXM為其供應商提供的該等擔保相關事宜。
此外，審議通過關於提請股東大會批准董事會決定發行債務融資工具的議案。為滿足公司生產運營以及境內或境外項目基建和經營需要，補充流動資金，降低資金成本，及時把握市場有利時機，根據相關法律法規、公司章程和實際情況，董事會同意提請2020年年度股東大會一般及無條件授予董事會並由董事會轉授權董事長及其授權人士在可發行債務融資工具額度範圍內，本次授權境內外債務融資工具的發行規模為合計不超過人民幣260億元或等值外幣。
