廣信材料(300537.SZ)：2020年度由盈轉虧 預虧1.91億元–2.69億元
格隆匯 1 月 29日丨廣信材料(300537.SZ)披露2020年年度業績預吿，預計歸屬於上市公司股東的淨虧損1.91億元–2.69億元，上年同期盈利7218.47萬元；扣除非經常性損益後的淨虧損2.01億元–2.79億元，上年同期盈利5243.98萬元。2020年度，公司歸屬於上市公司股東的淨利潤大幅下降，主要原因為：
1、計提商譽減值
公司根據《會計監管風險提示第8號—商譽減值》及《相關會計政策規定，對前期收購子公司形成的商譽進行了初步減值測試，預計本期計提的商譽減值額約為2.5億元。公司計提商譽減值準備導致本報吿期業績大幅下降，實際計提金額需根據評估機構的評估報吿及會計師事務所審計數據確定。剔除商譽減值因素影響，2020年公司實現歸屬於上市公司股東的淨利潤預計為2750萬元-3500萬元。
2、處置東莞航盛損失
為進一步優化公司產業結構和業務佈局，減少虧損資產對公司整體利潤的影響，公司於2020年第二次臨時股東大會審議通過了《關於出售控股子公司股權暨關聯交易的議案》，將東莞市航盛新能源材料有限公司60%股權對外轉讓，實施完成後將有利於企業瘦身，剝離低效資產，優化企業資產結構，聚焦公司主業。本次轉讓東莞航盛股權導致公司損失1773萬元，以前年度收購航盛時所形成的4,607萬元商譽同時結轉。
3、其他影響事項
公司塗料板塊受新冠疫情、中美摩擦及華為業務等因素影響，業績下滑導致利潤受損。公司於2020年12月剝離的控股子公司東莞航盛受其行業及上游原材料緊缺影響，有較大虧損，對2020年合併報表歸屬於母公司淨利潤有所影響。
4、非經常性損益影響
預計公司本報吿期的非經常性損益為1035萬元，上年同期為1974萬元。本期非經常性損益主要系：湖南陽光業績補償收入款、非流動資產處置收益、政府補助及處置東莞航盛投資損失等。
