大豪科技(603025.SH)：寧波嗶宏擬對從事編碼器業務的安必軒增資2000萬元
格隆匯 1 月 29日丨大豪科技(603025.SH)公佈，2021年1月21日，寧波嗶宏與蘇州安必軒微電子技術有限公司(“安必軒”)簽署了《增資協議》，寧波嗶宏擬對安必軒增資人民幣2000萬元。根據《增資協議》，寧波嗶宏在中國證券投資基金業協會完成私募投資基金備案為其繳付出資款的先決條件。
安必軒主要從事編碼器業務，擁有完全自主知識產權，具備研發、生產、封測全流程國產化能力，為下游客户提供高精度編碼器芯片唯一國產替代進口方案，產品應用於電梯、機械臂、縫製設備等工業控制領域的伺服系統。安必軒業務前身來自北京中微鋭芯科技有限公司(“中微鋭芯”)，中微鋭芯成立於2013年1月，核心團隊來自美國硅谷和清華大學，累計獲得多項國內外專利授權。創立之初，中微鋭芯主營業務主要瞄準“集成電路設計和應用”、“旋轉編碼器”、“物聯網傳感器及系統”等方向。2016年中微鋭芯研發編碼器芯片項目，並將業務延伸到編碼器芯片、編碼器整機業務中，為了更有利於團隊全身心的投入編碼器芯片的技術研發和市場推廣，中微鋭芯決定將已有業務整合重組，於2020年8月27日成立安必軒，並將編碼器相關的人員、資產及知識產權全部注入到新公司安必軒。
安必軒的主要業務為高精度編碼器芯片研發設計，產品應用於電梯、機械臂、縫製設備等工業控制領域的伺服系統。
安必軒的編碼器芯片產品能夠直接配套公司的電控系統供應鏈需求，降低綜合採購成本，提升公司產品的國產化比例及性能競爭優勢。綜上，此次投資有利於上市公司的上游產業鏈佈局，屬於與公司業務協同性較高的財務投資項目。
目前公司正在進行重大資產重組，擬向控股股東等交易對方發行股份購買其持有的相關資產。此次交易後，除公司原有業務外，公司業務將擴充至酒類、食品飲料、樂器等大消費領域，及應用於半導體照明LED封裝、光電功能等新材料領域。
