神州數字(08255.HK)：附屬公司CB International獲增資300萬美元
格隆匯 1 月 28日丨神州數字(08255.HK)宣佈，於2020年1月28日，神州數字基金、公司與CB International訂立認購協議，據此，CB International將有條件配發及發行，而神州數字基金有條件同意認購27,149,321股新CBI股份，相當於CB International經擴大股權的約5.8%，總代價為300萬美元。
據悉，CB International由公司、孫江濤(為公司主席、行政總裁、執行董事及控股股東之一)及基金(一名獨立第三方)分別擁有約81.9%、9.9%及8.2%的權益。孫江濤為CB International的董事。
CB International集團主要從事(其中包括)(i)於美利堅合眾國的線上及線下銀行業務，包括提供儲蓄、境內外支付、貸款、聯合徵信以及理財產品及服務；(ii)新西蘭法律規管的定製信託服務；及(iii)新西蘭法律規管的經紀服務、投資、代他人掌管或管理金錢、證券或投資組合及作為信貸合約的債權人。
公吿稱，自CB International集團獲取相關銀行牌照起，集團在CB International集團投入極大精力及投資以拓展其業務及客户羣。CB International集團截至2020年9月30日止九個月的財務表現有所改善，表明CB International集團現正處於業務增長階段。為籌措資金進一步擴展海外市場及提升CB International集團的資本基礎，董事會預期CB International集團需要額外資金維持及擴展其業務。鑑於CBInternational集團的融資需求，認購事項為業務發展提供了額外融資之道。
認購事項所得款項淨額將用於發展CB International集團的金融服務業務及一般營運資金。由於認購事項將不會導致公司失去對CB International集團的控制權，認購事項將入賬列為權益交易且將不會導致於公司綜合損益及其他全面收益表中確認任何收益或虧損。
