*ST飛樂(600651.SH)2020年預盈4.05億元左右
格隆匯1月28日丨*ST飛樂(600651.SH)披露2020年度業績預盈公吿，公司預計2020年度實現歸屬於上市公司股東的淨利潤為4.05億元左右；公司預計2020年度實現歸屬於上市公司股東扣除非經常性損益後的淨利潤為-4.25億元左右。業績預盈的主要原因系：
(一)主營業務影響。
1、2020年8月，公司重大資產重組注入上市公司的上海工業自動化儀表研究院有限公司100%股權、上海儀電汽車電子系統有限公司100%股權、上海儀電智能電子有限公司100%股權已分別完成過户辦理，成為公司的全資子公司，納入公司合併報表範圍。公司從單一照明業務轉變為多業務經營的公司，產品結構及利潤構成在本報吿期與上年同期相比發生了較大變動，2020年度上述置入企業預計為公司貢獻利潤0.73億元左右。
2、受海外新冠疫情及市場波動影響，公司照明業務板塊營業收入較上年度進一步下降，2020年度繼續呈現虧損。喜萬年集團在全球的銷售業績未達到管理層預期，2020年營業收入規模繼續下降，喜萬年商標出現減值跡象，公司對商標進行初步減值測試並相應計提減值準備。
(二)非經營性損益的影響。
1、2020年公司通過在上海聯交所公開掛牌轉讓的方式出售持有的北京申安100%股權，本次轉讓北京申安100%股權已實施完成，形成投資收益約為2.30億元。
2、2020年公司向上海儀電(集團)有限公司轉讓華鑫股份6.63%的股權(即7033.7623萬股股票)，該轉讓已實施完成，形成投資收益約為2.29億元。公司根據華鑫股份的經營情況和對外股權投資的戰略安排，確定以獲取華鑫股份的股利分紅為持有目的，且在近期及可預見的未來無出售全部或者部分該股權的計劃，因此將持有的剩餘6%股權(即6367.4473萬股股票)指定為以公允價值計量且其變動計入其他綜合收益的金融資產，此項轉換確認投資收益合計約為3.74億元。
3、公司收到上海金融法院發來的民事訴訟的《應訴通知書》及相關法律文書，委託專業律師對原吿訴公司證券虛假陳述責任糾紛案預計賠償情況提供專業意見，在此基礎上公司初步預計賠償金額並確認預計負債。
