中國中期(000996.SZ)：擬出售資產、吸收合併國際期貨 明起復牌
格隆匯 1 月 27日丨中國中期(000996.SZ)公佈，此次交易由重大資產出售、吸收合併及募集配套資金三部分組成。
重大資產出售：中國中期與中期集團簽署《資產轉讓協議》，擬向中期集團出售除中國中期持有中國國際期貨股份有限公司(“國際期貨”)的25.35%股份、中期時代100%股權及相關負債之外的全部資產和負債，中期集團以現金支付。資產出售完成後，中國中期除持有國際期貨25.35%股份、中期時代100%股權及相關負債之外的全部業務、資產及負債、人員將由中期集團承接。
吸收合併：中國中期吸收合併國際期貨，即中國中期為吸收合併方，國際期貨為被吸收合併方，中國中期向國際期貨除中國中期以外的所有股東發行A股股票作為吸收合併對價，對國際期貨實施吸收合併。中國中期持有的國際期貨25.35%的股份將在此次吸收合併後予以註銷。中國中期為此次吸收合併發行的A股股票將申請在深交所上市流通。
重大資產出售和吸收合併完成後，中國中期作為存續公司將承繼及承接國際期貨的全部資產、負債、業務、合同、人員及其一切權利與義務，同時，存續公司將承繼國際期貨的全部經營資質和“中國國際期貨股份有限公司”名稱，並相應對存續公司的名稱和經營範圍予以變更。
上述重大資產出售和吸收合併國際期貨同時實施，互為前提。另外，此次吸收合併國際期貨完成後，中期集團及其關聯方合計持有存續公司的股權比例預計將超過30%，觸發要約收購義務，此次交易須待股東大會豁免中期集團及其關聯方的要約收購。
募集配套資金：此次募集配套資金採用向特定對象非公開發行股份方式，發行對象為不超過35名特定對象，配套融資總額不超過20億元(含20億元)。此次發行股份不超過吸收合併標的交易價格的100%。配套資金扣除發行費用後，將全部補充吸收合併後存續公司的資本金。
募集配套資金在重大資產出售及吸收合併的基礎上實施，但募集配套資金實施與否或配套資金是否足額募集，均不影響重大資產出售及吸收合併的實施。
公司目前主營業務為汽車服務業務。中國汽車銷售市場競爭日益激烈，2018年及2019年，中國中期的營業收入分別為6655.61萬元、6230.78萬元，主營業務經營呈現下滑趨勢。
期貨行業作為我國金融領域的重要組成部分，是國家重點關注、建設的重要領域，期貨市場在國民經濟中發現價格、管理風險。伴隨着我國經濟的不斷髮展，期貨行業和期貨市場有着廣闊的市場空間。通過本次交易吸收合併市場前景廣闊的國際期貨，將迅速擴大公司資產規模，提高公司資產質量和持續盈利能力，改善財務狀況，增強公司的競爭實力和長遠發展實力，有利於公司的可持續發展。
根據相關規定，經公司向深圳證券交易所申請，公司股票將於2021年1月28日上午開市起復牌。
