四環醫藥(00460.HK)完成收購吉林遨通和吉林佳輝股份 將極大加強CDMO服務能力
格隆匯1月27日丨四環醫藥(00460.HK)公佈，公司旗下吉林升通化工有限公司已完成對吉林遨通化工有限公司和吉林佳輝化工有限公司的股權收購。該收購完成後，集團旗下吉林升通分別持有吉林遨通100%股權和吉林佳輝的60%股權。
集團旗下吉林康通醫藥集團有限公司（同時為吉林升通的直接控股公司）致力於原料藥全產業鏈戰略佈局以及合同開發生產組織（CDMO）╱合同生產組織（CMO）的平台建設，整個原料藥版塊主要佈局于吉林省吉林市，力爭成為醫藥中間體及原料藥領域、CDMO/CMO的領先企業。不同於以CDMO為主的頭部企業，集團的原料藥版塊，尤其是在成本和規模化生產上具備強大的競爭力。集團不僅在製劑領域取得了很大的競爭優勢，同時佔領了醫藥原料藥生產板塊的戰略高地，對於公司從容面對產品集採所帶來的挑戰與機遇，都具有非常重要的戰略意義。
集團旗下的北京澳合等多個研究院提供了強大的研發支撐，而吉林原料藥生產、產業化實現等版塊，已獲得各種生產資質，並將各種新技術、酶化學、連續流、金屬催化、綠色化學、先進設備等，投入到一線領域，包括上千人的技術生產隊伍，是集團再創新高的堅實基礎。
該收購將做為集團全產業鏈佈局及CDMO平台的關鍵環節，承擔起關鍵中間體生產的任務。
據悉，吉林佳輝與吉林遨通同處於國家級化工園區：吉林省吉林市吉林經濟技術開發區。吉林市是國家老牌化工基地，有着超過60年的化工管理經驗、監管水平以及尺度，在國內屬一流水平。本身又是化工城，有着上百萬的化工產業人口；這也是集團選擇吉林市作為原料藥版塊核心基地的最重要的原因。
吉林遨通：擁有三個綜合性化學合成車間，設計產能500噸，目前已具備硝化反應和氯化反應資質，同時配備有完善的工藝研發實驗室及質量檢驗實驗室等，保障了生產工藝的先進性和產品質量的可靠性。吉林遨通已與園區內多家大型化工企業達成戰略合作意向，氮氣、乙烯等原料將搭建輸送管路，由生產企業直接供應到遨通生產車間。
吉林佳輝：擁有兩個綜合性化學合成車間，設計產能200噸，目前已具備氫化反應和磺化反應，精餾等資質，可以同時具備產品生產及溶劑回收功能。吉林佳輝配備有完善的工藝研發實驗室及質量檢驗實驗室等，保障了生產工藝的先進性和產品質量的可靠性。
公司表示，吉林遨通和吉林佳輝作為集團旗下CDMO平台的關鍵環節，既可以配合集團共同承接CDMO服務，又有獨立的研發生產單元，有能力單獨承接CDMO服務，將極大加強集團的全產業鏈生產能力和CDMO服務能力。
