中遠海運港口(01199.HK)擬1.4億美元收購RSGT約20%股權
格隆匯1月27日丨中遠海運港口(01199.HK)公吿稱，於2021年1月27日，賣方、順欣(公司全資附屬公司)及Red Sea Ports訂立購股協議，據此，順欣有條件同意購買銷售股份(於本公吿日期佔Red Sea Gateway Terminal Company Limited已發行股本總數約20.00%)，總代價為1.4億美元。
RSGT是一家根據沙特阿拉伯法律註冊成立的公司，為SISCO與MMC Corporation Berhad合夥設立的私營獨立國際碼頭運營商。RSGT致力於紅海地區及全球範圍內的基建及設施投資，以更好地滿足區域內貨運及集裝箱服務日益增長的需求，並透過針對性的國際業務擴張在全球物流鏈中發揮更大作用。
RSGT的主要資產為位於沙特阿拉伯吉達伊斯蘭港的一個集裝箱碼頭Red SeaGateway Terminal，由RSGT管理及經營。根據新近簽訂的為期30年的特許權協議，Red SeaGateway Terminal於2020年4月接手營運吉達伊斯蘭港的北部(前稱North Container Terminal)。Red SeaGateway Terminal目前的年度集裝箱吞吐量能力為520萬個標準箱。
公司表示，公司以The Ports for ALL為願景引領未來發展，着眼全球化戰略。Red SeaGateway Terminal是吉達伊斯蘭港最大的碼頭，而吉達伊斯蘭港亦是沙特阿拉伯最大的港口。吉達伊斯蘭港位於紅海地區的戰略要地，鄰近主要航道，廣泛覆蓋中東和東非的集裝箱市場。隨着未來海上貿易的發展，董事會相信，吉達伊斯蘭港及Red SeaGateway Terminal的集裝箱吞吐量於未來將持續增長。
此外，於2020年4月與位於吉達伊斯蘭港的鄰近集裝箱碼頭合併後，Red SeaGateway Terminal將升級並增加泊位容量，同時對碼頭堆場及其他配套設施進行現代化改造。董事會相信，新建的基建和設施將令Red SeaGateway Terminal穩居沙特阿拉伯及紅海地區最大的物流門户及最繁忙的集裝箱碼頭。受惠於集裝箱運量的穩定來源，收購事項預期將提升公司的吞吐量及盈利能力。
