三盛教育(300282.SZ)2020年預虧6.4億元-7.4億元
格隆匯1月27日丨三盛教育(300282.SZ)披露2020年度業績預吿，公司預計2020年度實現歸屬於上市公司股東的淨利潤為-6.40億元到-7.40億元，而上年同期為盈利1205.76萬元。
報吿期內，歸屬於上市公司股東的淨利潤表現為虧損的主要原因是：
(1)受新業務模式尚未帶來明顯的財務貢獻、2020年爆發的的新冠疫情以及子公司計提減值準備等因素影響，恆峯信息經營業績大幅下滑，營業收入約為5440萬元，同比下降84%；淨利潤約為-1.01億元(包含資產減值損失、信用減值損失合計約6500萬元)，同比下降約293%。
(2)截至2020年底，公司因收購恆峯信息形成的商譽餘額約為6.00億元。公司對存在商譽的資產組，根據2020年度業績完成情況、產品或服務的競爭優勢、未來的市場競爭狀況審慎評估，資產組的商譽存在減值跡象。基於此，公司根據中國證監會《會計監管風險提示第8號——商譽減值》相關要求，對前期收購恆峯信息形成的商譽進行了初步減值測試，預計計提商譽減值準備約5.00億元-6.00億元(實際計提金額需依據評估機構出具的商譽減值測試評估報吿確定)，對公司淨利潤影響較大。
(3)根據公司與王靜簽署的《王靜與三盛智慧教育科技股份有限公司關於山東三品恆大教育科技股份有限公司之股份回購協議》，截至2020年12月31日，王靜應支付未支付股權回購款的逾期金額為7267.37萬元(含本金、應計利息及違約金)，公司已對逾期事項提起仲裁及財產保全申請，公司預計需計提相關損失，暫計為2000萬元，具體計提損失金額將根據仲裁進展進一步確定。
報吿期內，預計非經常性損益對歸屬於上市公司股東的淨利潤影響約為2280萬元，主要為政府補助資金以及預計將獲得的北京中育貝拉國際教育科技有限公司9.67%股權的補償價值。
