魯西化工(000830.SZ)：中化投資和聚合投資一致行動關係終止
格隆匯 1 月 27日丨魯西化工(000830.SZ)公佈，公司近日收到公司股東魯西集團有限公司(“魯西集團”)的通知，魯西集團股權結構發生變更。
此次魯西集團股權結構變更前，中化投資發展有限公司(“中化投資”)持有魯西集團39%的股權,聊城市人民政府國有資產監督管理委員會(“聊城市國資委”)持有魯西集團35%的股權，聊城市聚合股權投資有限公司(“聚合投資”)持有魯西集團10%的股權，聊城市財信投資有限公司(“財信投資”)持有魯西集團9.99%的股權,中化投資(聊城)有限公司(“中化聊城”)持有魯西集團6.01%的股權。
魯西集團2021年第一次股東會會議同意財信投資將其持有的魯西集團9.99%的股權以人民幣7.67億元的價格轉讓給中化聊城，中化投資、聊城市國資委、聚合投資確認對此次交易放棄優先購買權，同意並將配合此次交易的實施。
2021年1月25日，上述股權轉讓事項已經完成工商變更手續。此次股權轉讓完成後，魯西集團的股東及股權結構變更為如下：
中化投資持有魯西集團39%的股權,聊城市國資委持有魯西集團35%的股權，中化聊城持有魯西集團16%的股權，聚合投資持有魯西集團10%的股權。
公司2020年非公開發行股票439,458,233股已於2021年1月21日上市，具體內容詳見公司於2021年1月20日披露的《非公開發行A股股票發行情況報吿書暨上市公吿書》。新增股份上市後，中化投資持有魯西化工23.08%的股權，魯西集團持有魯西化工25.85%的股權。
根據魯西集團股東中化投資與聚合投資於2019年10月28日簽署的《一致行動協議》約定：“如中化投資及/或與中化投資受相同實際控制人控制的主體合計持有魯西集團的股權比例達到或超過51%時，本協議自動終止。如中化投資及/或其關聯方不再直接或間接持有魯西集團的任何股權之日起，本協議自動終止。”
中化聊城為中化投資的全資子公司，此次魯西集團工商變更完成後，中化投資和中化聊城合計持有魯西集團55%股權，持股比例已超過51%，中化投資和聚合投資的一致行動關係終止。
