中教控股(00839.HK)擬先舊後新配售1.22億股 淨籌20.13億港元
格隆匯 1 月 27日丨中教控股(00839.HK)發佈公吿，2021年1月26日，藍天、白雲及公司與配售代理(即UBS)訂立配售協議，據此，藍天及白雲同意委任配售代理促使獨立承配人按配售價購買合共1.22億股配售股份(或倘並無獨立承配人，則由配售代理作為主事人)。作為配售協議的先決條件，藍天、白雲及公司須於配售協議完成前訂立認購協議，據此，公司已同意按認購協議內的條款和條件向藍天及白雲按認購價(與配售價相同)發行相等於配售股份數目的認購股份。
配售代理可配售股份總數為1.22億股，相當於公司於本公吿日期已發行股本約5.67%及經認購擴大的已發行股本約5.37%。配售價(認購價相等於配售價)每股16.60港元，較1月26日(即配售協議日期)股份在聯交所所報的收市價每股18.08港元折讓約8.19%。
藍天為一間於英屬維爾京羣島註冊成立的有限公司，由Passionate Jade Holding Limited全資擁有，而Passionate Jade Holding Limited由Cantrust (Far East) Limited(作為酌情信託(即藍天信託)的受託人)全資擁有。執行董事於果先生為藍天信託的財產授予人和受益人。白雲為一間於英屬維爾京羣島註冊成立的有限公司，由Shimmery Diamond Holding Limited全資擁有，而Shimmery Diamond Holding Limited由Cantrust (Far East) Limited(作為酌情信託(即白雲信託)的受託人)全資擁有。執行董事謝可滔先生為白雲信託的財產授予人和受益人。於配售協議日期，藍天及白雲合共實益擁有15億股股份，相當於公司現時已發行股本約69.75%。
公吿表示，除擴充現有學校的計劃外，集團將會繼續執行其併購策略以購入更多學校，從而擴大公司版圖並打入海外市場。董事認為，配售及認購將鞏固公司的資本基礎以用作(其中包括)潛在收購事項以及擴充及發展新校舍。公司估計，扣除相關成本、專業費用及及實付費用後，認購所得款項淨額將約為20.13億港元。公司擬將認購所得款項淨額用作潛在收購項目；及擴充及發展集團於大灣區的新校舍。公司將會向聯交所上市委員會申請批准認購股份上市及買賣。
