德邦股份(603056.SH)：與韻達股份簽署戰略合作協議
格隆匯1月25日丨德邦股份(603056.SH)公佈，2021年1月24日，公司召開第四屆董事會第二十四次會議及第四屆監事會第十七次會議，審議通過了《關於調整公司非公開發行股票方案的議案》，為了更好地落實雙方戰略合作目標，深化市場拓展、網絡優化、集中採購等方面的措施實施，經公司與特定對象協商並研究，同意公司對2020年度非公開發行A股股票的發行對象進行調整，將本次非公開發行的發行對象由寧波梅山保税港區福杉投資有限公司(“福杉投資”)調整為福杉投資的母公司韻達控股股份有限公司(“韻達股份”，韻達股份持有福杉投資100%的股權)，發行方案的其他內容不變。該次董事會會議同時審議通過了《關於公司與特定對象簽署戰略合作協議的議案》，同意公司與韻達股份簽署《德邦物流股份有限公司與韻達控股股份有限公司之戰略合作協議》。根據股東大會授權，上述議案經董事會審議通過後，無需提交股東大會審議。
公司擬引入韻達股份作為戰略投資者，助力公司發展。韻達股份是國內領先的快遞綜合服務提供商。公司與韻達股份分別作為大件快遞和快遞行業的龍頭企業，在本次非公開發行完成後，雙方將充分發揮在各自產品、服務經驗、品牌價值及業內資源等相關優勢，在市場拓展、網絡優化和集中採購等方面開展深度合作，共同提升市場佔有率，進一步凸顯規模效應；同時實現雙方優勢互補，達到降本增效、提升市場競爭力的雙贏效果，最終實現公司持續盈利能力及品牌價值的提升。
收入方面，由於韻達股份和德邦股份分別在小件快遞、大件快遞和零擔等不同的業務領域，有着領先的行業競爭優勢，雙方通過本次合作，不僅可以共享豐富的行業經驗，強化產品的核心競爭力，還可以幫助雙方實現優勢互補，全面滿足客户綜合化需求，進一步加強雙方規模效應，最終達到互利共贏。
成本方面，韻達股份和德邦股份的合作能夠充分發揮雙方在網絡和集中採購方面的協同效應，通過雙方在網絡資源領域的佈局優化以及關鍵設備方面的集中採購，實現降本增效，從而提升公司盈利性，幫助企業獲得長遠的可持續發展，為股東創造更多價值。
