正源房地產相關債券逾期違約 西南證券(600369.SH)作為有關資管計劃管理人提起的訴訟已獲法院受理
格隆匯 1 月 23日丨西南證券(600369.SH)公佈,公司作為“西南證券-雙喜金債廣農商1號定向資產管理計劃”、“西南證券雙喜金債中銀1號集合資產管理計劃”、“西南證券雙喜金債2號集合資產管理計劃”、“西南證券雙喜金債3號集合資產管理計劃”、“西南證券雙喜金債4號集合資產管理計劃”、“西南證券雙喜金債5號集合資產管理計劃”(以下簡稱資管計劃)管理人,於2021年1月14日代表資管計劃向重慶市第一中級人民法院提起訴訟,就正源房地產開發有限公司未能根據約定支付正源房地產開發有限公司2016年公司債券(債券簡稱:16正源01、16正源02、16正源03)本金及利息(人民幣54946.68萬元),申請判令正源房地產開發有限公司償付上述債券本金及利息、違約金、逾期利息、律師費、訴訟費等。2021年1月14日,重慶市第一中級人民法院出具《受理案件通知書》((2021)渝01民初27號、(2021)渝01民初28號、(2021)渝01民初29號、(2021)渝01民初30號、(2021)渝01民初31號、(2021)渝01民初32號、(2021)渝01民初33號),決定立案受理。
公司作為資管計劃的管理人,嚴格按照監管規定和資管計劃合同約定履行管理人職責,案件的最終訴訟結果由資管計劃投資人承擔,公司自有資金參與部分(本金約4.03億元)按照資管計劃合同約定享有權利並承擔相應的義務。鑑於上述案件尚未開庭審理,暫無法預計本次訴訟對公司期後利潤的影響。
因上述債券估值下調影響其公允價值,預計將減少公司2020年度歸母淨利潤2.12億元(以上為公司初步核算數據,最終以會計師事務所年度審計確認的金額為準)。公司目前經營情況正常,財務狀況穩健,各項債券均按期足額付息兑付,未發生違約情況。公司將持續關注該案件的進展情況,並及時履行信息披露義務。敬請投資者注意投資風險。
