文一科技(600520.SH)：原投資意向協議中6個月的期限暫順延兩個月
格隆匯 1 月 23日丨文一科技(600520.SH)公佈，上海辦同實業有限公司(“上海辦同”)系公司全資子公司銅陵華翔資產管理有限公司(“華翔資管”)的參股子公司。上海辦同於2020年5月29日與銅陵建同科創股權投資合夥企業(有限合夥)(“建同科創”)及其業務合作方銅陵長江建同資產管理有限公司(“長江建同”)簽訂了《投資意向協議》。該協議主要內容為：上海辦同鑑於看好建同科創已投資的幾家標的公司，願意對其已投資的部分標的公司進行投資或者收購。為了表達誠意，在對這幾家公司進行盡職調查前，上海辦同需向建同科創的業務合作方長江建同支付5000萬元的投資意向金，建同科創為此筆投資意向金提供連帶責任擔保，同時約定在協議簽署後6個月內，上海辦同若決定不對標的公司進行投資，則長江建同需向上海辦同無息退還5000萬元的投資意向金；若決定投資，則在正式簽訂投資協議後，該5000萬元的投資意向金轉為正式的投資款項。建同科創也為了表達誠意，同意在協議中約定獨家排他性條款。
上海辦同根據上述《投資意向協議》於2020年7月24日、2020年7月27日分兩筆向長江建同支付了5000萬元的投資意向金，長江建同分別出具了兩份收款收據。在2020年7月24日長江建同出具的收據上註明有“時效至2021年元月24日”，上海辦同收到收據後未表示異議，同時亦沒有通知上市公司。《投資意向協議》各方認為，根據“實質重於形式”的原則以及意思自治理念，該《投資意向協議》中關於投資意向金有效時間的約定應從收到第一筆意向金開始起算，即有效期為2020年7月25日至2021年1月24日。目前該筆意向金有效期未屆滿，上海辦同未收回該筆意向金，協議各方仍就合作事宜正在加緊磋商。
2021年1月21日，上海辦同、建同科創、長江建同就投資意向金有效期限的事宜簽訂了《投資意向補充協議》，該協議主要內容為：因疫情原因，導致合同目的需延期實現，原《投資意向協議》中6個月的期限暫順延兩個月(即至2021年3月24日)。
經公司瞭解情況，由於今年疫情影響，負責盡職調查的中介機構內部核查部門無法進入現場核查，需待疫情穩定後再開展現場核查工作，因此，原收購計劃需要延期實施。上海辦同、建同科創、長江建同三方經友好協商，同意將投資意向金的有效期限暫順延兩個月(即至2021年3月24日)。根據長江建同的反饋信息，5000萬元的投資意向金在長江建同資金賬户上。
