首創環境(03989.HK)擬1.312億元出售深圳廣業環保46%股權
格隆匯 1 月 22日丨首創環境(03989.HK)公吿，於2021年1月22日，賣方北京首創環境投資有限公司(公司間接全資附屬公司)與買方廣東廣業投資集團有限公司就出售事項訂立協議，據此，賣方已有條件地同意出售，而買方已有條件地同意購買深圳廣業環保46%股權及債權，代價為人民幣1.312億元。
於完成後，公司不再持有深圳廣業環保的任何股份，而深圳廣業環保將不再為公司聯營公司。
深圳廣業環保為一間於中國註冊成立有限公司，而於公吿日期，乃由賣方及買方分別擁有46%及54%股權。深圳廣業環保主要從事焚燒可燃生活垃圾及工業垃圾發電、售電，銷售焚燒後廢金屬、爐渣的綜合利用。
買方為廣東省國有資產監督管理委員會下屬廣東省廣業集團有限公司管理國有企業。買方及其附屬公司主要於中國對工業、農業、交通、城建行業投資、參股；自有房產出租；貨物、技術進口貿易、國內貿易(法律法規禁止的不得經營，國家專營專控商品持有效的批准文件經營)；天然氣銷售(不含儲存、運輸且不為終端用户供氣)；危險化學品的批發(無儲存設施，許可經營項目按有效危險化學品經營許可證附頁所列經營)。於公吿日期及於完成前，買方持有深圳廣業環保的54%股權。
集團主要從事提供廢物處理技術及服務，並專注廢物處理設施的技術開發、設計、系統集成、項目投資、顧問、營運及維護，尤其是廢物轉化能源項目。出售事項代價人民幣131,200,000元將可讓集團變現於待售股份資投資以及債權。
此外，於公吿日期，深圳廣業環保的垃圾處理廠正處於停產狀態以實施提升改造工程，須作出進一步投資以便完成提升改造工程。出售事項後，集團不須再就提升改造工程注入投資款，公司將可重新分配更多財務資源及管理精力至其他可為集團帶來更豐厚回報潛在投資項目。
董事會認為深圳廣業環保表現尚未符合集團預期。由於深圳廣業環保已運營多年，加上近幾年污染物排放標準不斷提高，致使深圳廣業環保的運營壓力逐年增加，利潤開始下降。由於運營現金流較差導致深圳廣業環保從未進行現金分紅，長期佔用較大資金。同時，董事會認為出售事項將可令集團變現待售股份及分配出售事項所得款項至其他投資機會，並改善集團財務狀況。
