飛利信(300287.SZ)：董事石權的配偶張麗窗口期買賣股票構成短線交易及致歉
格隆匯 1 月 22日丨飛利信(300287.SZ)公佈，公司董事石權的配偶張麗於2020年10月12日買入公司股票，於次日進行了全部賣出，導致出現窗口期買賣股票及短線交易行為，根據《公司法》、《證券法》、《深圳證券交易所創業板股票上市規則》等相關法律法規的規定，現就有關事項公吿如下：
張麗於2020年10月12日買入公司股票7200股，買入均價：5.49元，成交金額39,528元，於次日進行了全部賣出，賣出均價：5.61元，成交金額40392元。此次交易收益864元，此次交易構成短線交易行為。公司於2020年10月15日披露了2020年前三季度業績預吿，張麗上述交易公司股票的行為違反了上市公司董事、監事和高級管理人員及其配偶不得在窗口期買賣公司股票的相關規定。截至公吿日，張麗未持有公司股票。
上述行為發生後，張麗已認識到其行為違反了相關規則，其承諾將認真學習相關法律、法規，嚴格遵守相關規定，防止此類事件的再次發生。
上述所得收益864元作為本次短線交易的獲利金額已全數上交公司。
公司將進一步採取措施，提醒董事、監事、高級管理人員、持有公司5% 以上股份的股東加強法律法規的學習，督促相關人員遵守規定，規範操作，杜絕違規交易情況再次發生，公司也將認真及時履行相關人員增持減持公司股票的信息披露義務。
公司將逐步加強《深圳證券交易所創業板股票上市規則》、《深圳證券交易所創業板上市公司規範運作指引》、《上市公司股東、董監高減持股份的若干規定》、《深圳證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等有關文件的培訓範圍及培訓力度，堅決杜絕此類行為再次發生。
石權及張麗就本次違規買賣公司股票事項的致歉聲明如下：本人已經深刻意識到上述行為存在違規及負面影響，對本次違規操作公司股票的行為進行了深刻反省，並對本次違規行為給公司帶來的負面影響深表歉意，對廣大投資者致以誠懇的道歉。本人將加強對證券賬户的管理，謹慎操作，杜絕此類事件的再次發生。
