潤建股份(002929.SZ)擬550萬元認購麥融高科10%股權
格隆匯 1 月 22日丨潤建股份(002929.SZ)公佈，公司擬使用自有資金出資人民幣550萬元認購長沙麥融高科股份有限公司(“麥融高科”)新增股份550萬股，認購完成後佔其10%股權。麥融高科此次擬向潤建股份、李建國、梁姬等9方以2970.7908萬元的交易對價發行股份2970.7908萬股。
潤建股份是一家上市高新技術企業，服務範圍覆蓋通信技術服務、電力與新能源服務、雲服務與IDC服務、數字化解決方案、工業和電力物聯網服務等新型基礎設施建設領域。公司自2003年成立以來深耕通信技術服務行業，樹立了良好的口碑和市場品牌，已成為通信技術服務、通信網絡建設行業的主力軍，是通信技術服務行業領先的民營企業、中國移動排名首位的A級網絡綜合代維服務商、中國鐵塔公司五星級的服務商。在保持通信技術服務業務穩定增長的同時，公司將服務範圍進一步拓展至電力與新能源服務、雲服務與IDC服務、數字化解決方案領域，形成一體多翼的發展格局，邁入快速發展的新週期。

麥融高科所擁有的核心產品和解決方案與公司戰略規劃高度契合，具有良好的業務協同性，此次公司參股麥融高科，一方面麥融高科作為公司業務合作伙伴及供應商，可為公司提供一系列高新技術產品和解決方案，為公司帶來良好的技術和產品補充，助力公司突破數據中心環境控制、5G網絡節能及環境控制細分領域；另一方面公司將利用強大的市場與交付能力，帶動麥融高科邁入快速發展通道；同時公司亦可通過產業孵化與股權投資，分享優質企業高速增長的成果，增強公司的盈利能力，實現股東利益最大化。
此次公司認購麥融高科10%股權，不會對公司未來財務狀況和經營成果產生重大影響，不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，因此次麥融高科新增股份認購方中李建國為公司董事長，梁姬為公司董事、財務總監，公司此次認購麥融高科10%股權事項構成關聯交易，不存在損害公司及中小股東利益的情形，不會對上市公司財務情況產生重大影響，不影響上市公司的獨立性。
