华润啤酒(00291.HK)拟与华润置地集团合作建设华润雪花总部及研发中心

格隆汇1月22日丨华润啤酒(00291.HK)发布公告,为将该地块由普通工业用地升级为普通工业、新型产业用地,公司透过其全资附属公司与华润置地全资附属公司订立以下协议:投资合作协议;搬迁补偿协议及代建服务合同。

待于签立投资合作协议后成立项目公司后,项目公司将负责拆除该等楼宇及该地块的搬迁事宜,以及连同华润雪花根据搬迁补偿协议向深圳政府申请变更该地块的土地用途。土地用途变更涉及向深圳政府的相关部门注销该地块的所有权证及重新将该地块登记为普通工业、新型产业用地。

一旦该地块升级为普通工业、新型产业用地,华润雪花将受让该地块的一部分(即雪花啤酒地块),而项目公司将受让该地块的另一部分(即项目公司地块)。华润雪花将使用雪花啤酒地块作为华润雪花的总部、研发中心、精酿工厂及员工宿舍以及啤酒博物馆的建设。

根据代建服务合同,华润雪花将委聘华润置地深圳代表其作为有关雪花啤酒地块(不含精酿工厂)建设及开发的项目管理人。项目公司将使用项目公司地块作为一个集办公室、商业物业、厂房、休闲设施、超市、餐厅及酒吧等为一体的综合体,将用于销售及出租。

项目公司的总注册资本为人民币10亿元。公司估计项目公司向华润雪花补偿的最高额外金额为人民币43.5亿元,因此,华润雪花收取的最高搬迁补偿为人民币90亿元。

据悉,该地块指位于中国广东省深圳市宝安区新安街道创业二路的七幅地块(名为01–03、01–04、01–07、03–01、02–02、02–03及02–05号宗地),其现由华润雪花拥有,为普通工业用地。

公司表示,有关改造是公司具有历史重大意义的里程碑。作为一家领先的快速消费品公司,公司拟建立一个具有国际知名度的标志性总部和研发中心。该地块将改造成为一个集合推广啤酒文化、啤酒酿造、餐饮及品酒、房地产开发(包括建造总部、办公室、商业物业)等以及促进夜市经济为特色的综合体。透过与华润置地集团成立项目公司,可为集团与华润置地集团创造协同效应,其中,集团可投入其在啤酒行业的深厚认识及经验,而华润置地集团可投入在房地产及物业开发方面的丰富经验,因此该地块的开发将进一步提高公司的盈利能力。预计公司将自出让项目公司地块实现初始税后收益约人民币13.2亿元。
