華潤啤酒(00291.HK)擬與華潤置地集團合作建設華潤雪花總部及研發中心

格隆匯1月22日丨華潤啤酒(00291.HK)發佈公吿,為將該地塊由普通工業用地升級為普通工業、新型產業用地,公司透過其全資附屬公司與華潤置地全資附屬公司訂立以下協議:投資合作協議;搬遷補償協議及代建服務合同。

待於籤立投資合作協議後成立項目公司後,項目公司將負責拆除該等樓宇及該地塊的搬遷事宜,以及連同華潤雪花根據搬遷補償協議向深圳政府申請變更該地塊的土地用途。土地用途變更涉及向深圳政府的相關部門註銷該地塊的所有權證及重新將該地塊登記為普通工業、新型產業用地。

一旦該地塊升級為普通工業、新型產業用地,華潤雪花將受讓該地塊的一部分(即雪花啤酒地塊),而項目公司將受讓該地塊的另一部分(即項目公司地塊)。華潤雪花將使用雪花啤酒地塊作為華潤雪花的總部、研發中心、精釀工廠及員工宿舍以及啤酒博物館的建設。

根據代建服務合同,華潤雪花將委聘華潤置地深圳代表其作為有關雪花啤酒地塊(不含精釀工廠)建設及開發的項目管理人。項目公司將使用項目公司地塊作為一個集辦公室、商業物業、廠房、休閒設施、超市、餐廳及酒吧等為一體的綜合體,將用於銷售及出租。

項目公司的總註冊資本為人民幣10億元。公司估計項目公司向華潤雪花補償的最高額外金額為人民幣43.5億元,因此,華潤雪花收取的最高搬遷補償為人民幣90億元。

據悉,該地塊指位於中國廣東省深圳市寶安區新安街道創業二路的七幅地塊(名為01–03、01–04、01–07、03–01、02–02、02–03及02–05號宗地),其現由華潤雪花擁有,為普通工業用地。

項目公司地塊指位於中國廣東省深圳市寶安區新安街道創業二路的四幅地塊(名為01–03、01–04、01–07及03–01號宗地),其將由項目公司擁有,為普通工業、新型產業用地。

公司表示,有關改造是公司具有歷史重大意義的里程碑。作為一家領先的快速消費品公司,公司擬建立一個具有國際知名度的標誌性總部和研發中心。該地塊將改造成為一個集合推廣啤酒文化、啤酒釀造、餐飲及品酒、房地產開發(包括建造總部、辦公室、商業物業)等以及促進夜市經濟為特色的綜合體。透過與華潤置地集團成立項目公司,可為集團與華潤置地集團創造協同效應,其中,集團可投入其在啤酒行業的深厚認識及經驗,而華潤置地集團可投入在房地產及物業開發方面的豐富經驗,因此該地塊的開發將進一步提高公司的盈利能力。預計公司將自出讓項目公司地塊實現初始税後收益約人民幣13.2億元。
