吉峯科技(300022.SZ)擬推出“吉峯農機合夥人計劃”
格隆匯 1 月 22日丨吉峯科技(300022.SZ)公佈，“吉峯農機合夥人計劃”是根據公司2018年11月15日發佈的《關於擬對公司業務板塊戰略性調整的公吿》，擬在流通服務板塊開放合夥人計劃而進行制定。為充分調動公司全資子公司流通服務板塊平台公司四川吉峯農機連鎖有限公司(“吉峯農機”或“吉峯農機體系”)核心銷售服務人員與核心管理人才二次創業熱情，抓住國家鄉村振興的歷史性機遇，加快公司轉型升級步伐，實現公司農機流通服務業務規模大發展，效益大提升，公司擬推出下屬吉峯農機體系的合夥人計劃(“合夥人計劃”)。
“合夥人計劃”是指符合一定資格的核心銷售服務人員與核心管理人才(“核心人員”)通過受讓部分股權或者通過增資擴股的方式，成為吉峯農機下屬省級公司或創新業務平台公司(以下合稱“省級公司”)以及吉峯農機平台的合夥人股東。
“合夥人計劃”分兩個層級實施：第一層級是吉峯農機平台合夥人計劃；第二層級是省級公司合夥人計劃。首先實施省級公司合夥人計劃，再實施吉峯農機平台合夥人計劃。
為了便於管理數量較多的合夥人股東以及對核心人才進行點對點的定向激勵，該計劃採取合夥企業的實施方式。由省級公司或吉峯農機經營班子共同擬定核心員工名單及擬出資額度，報吉峯農機總經理辦公會審核確定。然後由核心員工出資成立合夥企業，再由合夥企業受讓股權或者增資的方式持有省級公司一定比例的股權。
合夥企業具體的出資規模依據省級公司規模大小以及投資總額確定。合夥企業的資產、資金獨立，但需服從公司的統一管理，合夥企業的普通合夥人必須經吉峯農機書面認可。核心人員作為合夥人出資到合夥企業，享有合夥協議及章程規定的權利，履行相應的義務，吉峯農機對合夥人進行動態考核，包括其本職崗位的工作業績及作為合夥人的盡責情況。
合夥企業受讓股權或增資入股的價格按照公允價格執行，同時吉峯農機董事會有權結合對應公司實際經營情況對價格進行調整。
