聖馬丁國際(00482.HK)：聯交所譴責並批評公司及多名現任及前任董事
格隆匯1月22日丨聖馬丁國際(00482.HK)公吿，香港聯合交易所有限公司上市委員會譴責：公司未有及時公佈MyHD收購事項及Emiratinvest關連貸款，違反《香港聯合交易所有限公司證券上市規則》第14.34及14A.35條；及(ii)貸款公吿及通函的相關披露資料並不準確，在所有重大方面而言亦非完整，有誤導及／或欺詐成份，違反《上市規則》第2.13(2)條。
進一步譴責：該公司執行董事洪聰進先生、前執行董事陳美惠女士、前執行董事廖文毅先生；及批評該公司前執行董事Frank Karl-Heinz Fischer先生、執行董事陳偉鈞先生、獨立非執行董事吳嘉明先生、前獨立非執行董事韓千山先生、前獨立非執行董事李建國先生。
經和解後，該公司及相關董事（韓先生除外）沒有就上述違規事項提出抗辯，並接受上市委員會向他們作出的制裁及指令。
據悉，MyHD Media FZ LLC（MyHD）是在杜拜註冊成立的衞星電視營運商，由陳茱莉女士全資擁有。陳茱莉是該公司創辦人洪先生與妻子陳女士的朋友兼生意夥伴。該公司於2014年6月16日收購MyHD的11%權益，並向MyHD提供了多筆貸款。MyHD於2016年7月5日成為該公司擁有51%的附屬公司，並將借予MyHD的部分貸款資本化。該公司未有及時公佈MyHD收購事項。在2014年10月至2016年10月期間，該公司向Emiratinvest提供多筆貸款。由於陳若望與陳茱莉是兄妹，所以2016年7月5日MyHD成為該公司的附屬公司時，Emiratinvest亦成了該公司的關連人士。該公司未有及時公佈其在Emiratinvest成為關連方後向其提供的貸款。
此外，在預期銷售數字披露資料方面，洪先生及陳女士均知該公司在2016年和2017年截至該通函刊發當日為止，都沒有向Simple Media出售過任何機頂盒。55,000至80,000個機頂盒之數，是Emiratinvest先前擬稿中提供的預計數字，距離後來通函最終刊發日期已相隔六個月。洪先生和陳女士未有向Emiratinvest/Simple Media查問55,000至80,000個機頂盒仍否準確或是否已更新的數字。事實上，其後該公司2017年全年只向Simple Media出售了100個機頂盒。
