天澤信息(300209.SZ)：經自查核實確認 存在實控人及大股東資金佔用情況
格隆匯 1 月 21日丨天澤信息(300209.SZ)公佈，公司經自查，公司控股股東、實際控制人肖四清及持股5%以上股東(“大股東”)孫伯榮存在佔用上市公司資金的情形。
經公司自查、並與相關資金佔用方核實後確認，公司存在以下非經營性資金佔用的情況：
上市公司控股股東、實際控制人肖四清，大股東孫伯榮已充分意識到上述問題的嚴重性，正採取有效措施積極籌措資金儘快歸還佔用資金，以消除對上市公司造成的不良影響，切實維護上市公司及中小股東的利益。兩位股東計劃通過以現金、現金等價物或其它優質資產等多種形式積極解決資金佔用問題。截至公吿披露日，肖四清持有公司股份4394.6759萬股，所持股份市值約4億元；其中未被質押股份2197.3759萬股，市值約為2億元。後續肖四清將視具體情況採取不限於質押股份融資的方式以籌措償還資金。肖四清承諾將於公司披露《關於公司自查控股股東、實際控制人及大股東資金佔用情況的提示性公吿》(2021-008)後一個月內暨2021年2月21日(含)前完成還款，孫伯榮承諾將於2021年4月24日(含)前完成還款。兩位股東為此次資金佔用事項向上市公司及廣大投資者深表歉意！
公司將積極督促兩位股東儘快解決資金佔用問題，並及時履行後續相關信息披露義務，維護公司和廣大投資者的合法權益。與此同時，公司將積極採取以下措施，杜絕資金佔用問題的再次出現：(1)完善公司內部審計部門的職能，並進一步優化內部控制相關制度；同時加強付款流程管理和審核力度，嚴格執行相關審批決策程序。(2)不定期組織開展法律法規內部培訓工作，增加全體員工的守法合規意識；着重加強對公司控股股東、實際控制人、董事、監事、高級管理人員等相關人員的持續培訓力度，將強化學習作為完善公司治理的前提和基本要求，同時強化與監管機構的溝通，將相關學習內容結合公司實際情況貫徹到日常工作中。
