中國化學(601117.SH)：華陸公司實施混改 萬華化學及西安共贏入股
格隆匯 1 月 21日丨中國化學(601117.SH)公佈，為進一步落實國企改革三年行動，加快完善中國特色現代企業制度，立足優勢互補協同發展，充分激發動力活力，積極穩妥深化混合所有制改革，公司於2020年12月14日召開第四屆董事會第十七次會議，審議通過了《關於華陸公司混合所有制改革的議案》，同意全資子公司華陸工程科技有限責任公司(“華陸公司”)實施混合所有制改革，具體路徑和操作程序，授權公司經理層按相關規定完成。
公司通過北京產權交易所掛牌方式向萬華化學集團股份有限公司(“萬華化學”)轉讓華陸公司30%股權，通過場外交易向員工持股平台西安華陸共贏企業管理合夥企業(有限合夥)(“西安共贏”)轉讓華陸公司19%股權。目前萬華化學、西安共贏正式與中國化學簽署了股權轉讓協議，萬華化學以42450萬元人民幣的轉讓價格受讓中國化學持有的華陸公司30%股權；西安共贏通過場外交易的方式以26885萬元人民幣的交易價格受讓中國化學持有的華陸科技19%股權。
此次股權轉讓完成後，公司將繼續作為華陸公司控股股東，仍然擁有對華陸公司的實際控制權。
萬華化學是全球領先的MDI、TDI等高附加值化工新材料的優質供應商和服務商，是國內化工行業的領軍企業和改革標杆，是國務院國企改革領導小組推薦的首批“學先進、抓落實、促改革”專項工作典型。二十多年來，中國化學與萬華化學互信互利，累計合作項目近百個，打造了多個樣板工程，合作重點聚焦萬華化學自主研發工藝技術，在異氰酸酯、高端化學品和化工新材料系列產品上開展長期穩定的技術和工程化合作，是重要的戰略合作夥伴。由萬華化學主導開發，華陸公司合作參與的“大規模MDI生產技術開發及產業化”於2007年榮獲國家科技進步一等獎，全面開創了我國高端化學品產業發展的新局面。此次合作是中國化學和萬華化學在技術創新和工程化、市場化經營機制等各方面更深層次、更高水平、更寬領域全面合作的良好開端。
此次公司在華陸公司實施的混合所有制改革，通過釋放中國化學持有的華陸公司49%股權，形成中國化學、萬華化學、員工持股平台的良好股權結構，是公司推動國企改革三年行動落實落地的重要舉措，有利於提高企業核心競爭力，不斷健全完善市場化經營機制，進一步釋放企業發展活力。
