長城一帶一路(00524.HK)獲執行董事張少輝折讓30.6%提收購要約 明日復牌
格隆匯1月21日丨長城一帶一路(00524.HK)發佈公吿，於2021年1月18日，接管人（誠駿法證及企業重整有限公司的袁子俊先生）、要約人Beta Dynamic Limited與執行董事張少輝先生訂立該契據，據此，接管人同意出售及要約人同意購買銷售股份（佔於本聯合公吿日期公司全部已發行股本約50.80%），銷售股份的代價為9000萬港元並已由要約人以現金悉數結清。完成已於2021年1月20日作實。
緊接完成後，要約人及其一致行動人士擁有合共5.3億股股份，佔於本聯合公吿日期公司全部已發行股本約50.80%。根據收購守則規則26.1，要約人須就全部已發行股份作出強制無條件現金要約，每股要約股份現金0.1687港元，較1月18日收市價每股0.243港元折讓約30.6%。
要約人為一間於英屬處女羣島註冊成立的投資控股有限公司，並由張先生全資及實益擁有。張先生為執行董事以及要約人的唯一股東及唯一董事。彼持有香港中文大學工商管理碩士學位及香港理工大學電子工程學士學位。彼共同創辦黑馬資本資產管理有限公司併為該公司董事。於創立黑馬資本資產管理有限公司前，彼為美林（亞太）有限公司策略證券方案部亞太區主管。彼亦曾任花旗環球金融亞洲有限公司策略證券方案部亞太區主管及結構產品銷售部亞太區董事總經理。彼亦曾在亞太區的投資銀行任職，包括Calyon Corporate & Investment Bank（現稱Crédit Agricole Corporate & Investment Bank）及摩根大通公司。
張先生自2020年2月起成為董事。應公司要求，張先生與公司於2020年10月19日訂立貸款協議，據此，張先生同意向公司提供本金額最高為1000萬港元並按年利率12%計息的無抵押貸款。該貸款的本金及累計利息須於要求時償還。
緊接完成後，要約人已成為公司的控股股東。要約人擬繼續經營集團現有主要業務。
此外，公司股票將於2020年1月22日復牌。
