晶瑞股份(300655.SZ)：擬與基石浦江等設合夥企業 以投資擁有中國領先L4級自動駕駛技術的文遠知行
格隆匯 1 月 20日丨晶瑞股份(300655.SZ)公佈，根據公司整體戰略規劃，為促進公司長遠發展，充分藉助專業投資機構的專業資源與能力，實現專業投資機構資源、公司產業資源和金融資本的良性互動，公司於2021年1月19日召開了第二屆董事會第三十二次會議，審議通過了《關於對外投資成立合夥企業暨關聯交易的議案》，同意全資子公司善豐投資(江蘇)有限公司(“善豐投資”)以現金方式出資人民幣1875.3萬元與馬鞍山基石浦江資產管理有限公司(“基石浦江”)及自然人鄧力、李勍、詹際珊、許明山共同投資成立福州市輔沅投資合夥企業(有限合夥)(“輔沅合夥”、“合夥企業”或“本有限合夥企業”)，輔沅合夥為特定投資目的的專項基金(SPV)，該專項基金的最終投資標的為廣州文遠知行科技有限公司(“文遠知行”)。
基石浦江為輔沅合夥的普通合夥人與管理人，基石浦江系基石資產管理股份有限公司(“基石資本”)旗下的專業私募股權投資公司，具有較為豐富的投資經驗，系公司的長期戰略合作伙伴，公司董事李勍同時擔任基石浦江董事長，基石浦江及李勍為公司的關聯方。
輔沅合夥成立後將投向專項基金廣州若思投資合夥企業(有限合夥)(“若思合夥”)，通過若思合夥最終投向文遠知行。該股權投資項目系由基石浦江發掘並搭建前期投資架構，全部投資人均未實繳出資，此次改由專項投資基金輔沅合夥作為該無人駕駛項目的出資人，由善豐投資向輔沅合夥轉讓其持有的若思合夥全部認繳出資份額。
2021年1月19日，善豐投資與基石浦江及自然人鄧力、李勍、詹際珊、許明山在上海簽署了《合夥協議》，協議約定：公司與基石浦江及自然人鄧力、李勍、詹際珊、許明山共同投資成立合夥企業，合夥企業名稱為福州市輔沅投資合夥企業(有限合夥)。合夥企業出資總額為人民幣3000萬元，其中善豐投資、鄧力、李勍、詹際珊、許明山作為有限合夥人以現金方式分別認繳出資人民幣1875.3萬元、449.7萬元、337.2萬元、225萬元、112.5萬元，出資比例分別為62.51%、14.99%、11.24%、7.50%、3.75%；基石浦江作為普通合夥人以現金方式認繳出資人民幣0.3萬元，出資比例為0.01%。
文遠知行成立於2017年4月，總部位於廣州，系國內幾家頭部無人駕駛公司之一，擁有中國領先L4級自動駕駛技術，專注於智能出行，致力於為大眾提供安全便捷的出行服務。
核心技術：擁有一整套無人駕駛完整技術，提供領先的全棧式軟硬件解決方案，包括建圖、實時定位、路徑規劃、控制以及車輛改裝，可以支持複雜環境中的車輛運行。
產品及服務：公司提供無人駕駛出租車、智慧公交、智慧物流相關運營。無人駕駛出租車於2019年開始測試運營，安全運營一年多，完成訂單數近15萬單；無人公交、無人物流相關運營將於近期開始運營。
