巴比食品(605338.SH)：擬與4位自然人簽署投資合作協議
格隆匯 1 月 20日丨巴比食品(605338.SH)公佈，公司為優化產能佈局、拓寬市場區域，擬與王勇、王竹林、丁劍鋒、陳向軍4位自然人簽署《投資合作協議》，約定由交易對方(或交易對方設立的主體)設立目標公司，自設立的目標公司正式運營滿12個月(自目標公司設立的第四個月起為開始正式運營時間)，並達到協議約定的收購先決條件後，公司依據協議約定的條件通過受讓股權或受讓股權+增資方式實現持有目標公司70%的股權。授權董事長簽署此次交易相關協議和並授權公司管理層經辦相關事項，授權期限至相關事宜全部辦理完畢止。
交易對方應在目標公司設立後三個月內，將其合法擁有或通過相關協議、授權安排等可控制/使用(包括授權其他方使用)的“好禮客”“早宜點”品牌相關的全部資產及業務重組注入目標公司。
“好禮客”“早宜點”品牌目前為武漢地區連鎖門店品牌，銷售包子等食品飲料類產品，在武漢地區有一定的市場基礎和影響力。
王勇，男，中國國籍，住所為安徽省安慶市，身份證號碼為34082219****12；2018、2019年為自由職業者，2020年開始參與“好禮客”、“早宜點”品牌相關業務的管理工作，無對外投資。
王竹林，男，中國國籍，住所為湖北省武漢市，身份證號碼為34082219****34；最近三年主要從事“好禮客”、“早宜點”品牌業務的市場運營工作，任市場總監。持有武漢中拾食品有限公司(“武漢中拾”)90%的股份。
丁劍鋒，男，中國國籍，住所為安徽省安慶市，身份證號碼為34082219****77；最近三年主要從事“好禮客”、“早宜點”品牌業務的生產、市場運營工作，先後擔任生產經理、市場部總監等職務。持有武漢中拾10%的股份。
陳向軍，男，中國國籍，住所為湖北省武漢市，身份證號碼為34071119****18。最近三年主要從事“好禮客”、“早宜點”品牌業務的採購、後勤、生產工作，先後擔任採購總監、生產總監等職務。無對外投資。
此次對外投資有助於公司優化產能佈局、拓寬市場區域、有利於公司提升銷售規模和盈利能力，增強公司的整體競爭力，是公司將區域銷售網絡的覆蓋拓寬至全國市場的重要一步，符合公司長期發展戰略及全體股東的利益。
