開元酒店(01158.HK)獲Kunpeng Asia溢價約24.7%提要約 明日復牌
格隆匯 1 月 20日丨開元酒店(01158.HK)公吿，於2021年1月18日，董事會收到來自要約人Kunpeng Asia Limited的函件，表示在滿足先決條件的前提下，要約人將根據收購守則對H股和內資股(要約人及已承諾不接納要約要約人一致行動人士已擁有、控制或同意將予收購的該等H股和內資股除外)提出自願有條件要約，倘落實，此舉將導致退市。
作出要約及進行退市須達成的先決條件是，根據中國反壟斷法在中國對要約和退市項下擬議交易進行的反壟斷審查中，在中國反壟斷法規定的法定審查期限內，取得市場監管局的批准，且該批准未根據中國反壟斷法附加任何條件，市場監管局也未作出反對擬議交易的決定。於任何情況下，先決條件不得獲豁免。根據中國反壟斷法，法定審查期限包括自市場監管局正式立案後三十天的審查期限，以及如果市場監管局決定實施進一步審查，則另需九十天。此外，經市場監管局發出書面延期通知，審查期限可進一步延長六十天。要約人將在本聯合公吿日期後儘快進行相關申報。
要約價每股H股18.15港元較H股於最後交易日在聯交所所報收市價每股14.56港元溢價約24.7%。
陳氏集團、開匯泰亨、OCHotels、NCHotels Investment、鷗翎鉑卉、攜程香港、要約人和本公司就本公司的治理訂立公司股東協議，擬於H股要約於所有方面成為無條件後4個工作日全面生效。陳氏集團、開匯泰亨、OCHotels、NCHotels Investment、鷗翎鉑卉及攜程香港因是公司股東協議訂約方而作為要約人一致行動人士。
H股要約一旦成為無條件，公司將根據上市規則第6.12條作出退市申請。公司將以公吿形式知會股東有關H股的最後買賣日期及退市將會生效的日期。
公司已向聯交所申請自2021年1月21日上午九時正起恢復H股於聯交所的買賣。
要約人是一間在香港註冊成立的有限責任公司，設立目的旨在實施要約。要約人由BidCo(一間在開曼羣島註冊成立的有限責任公司)全資所有。於本聯合公吿日期，BidCo被OceanLink全資所有。SequoiaChina和OceanLink均支付承諾投資額後，SequoiaChina和OceanLink將分別擁有BidCo的68%和32%。
OceanLink系由OceanLink PartnersII GP,L.P.作為普通合夥人的某基金的全資附屬公司。OceanLink PartnersII GP,L.P.的普通合夥人為OceanLink PartnersII GPLimited，後者由鄭南燕和江天一(一名非執行董事)分別間接持有50%股權。
SequoiaChina系由SCChina GrowthVIManagement,L.P.作為普通合夥人的某基金的全資附屬公司。SCChina GrowthVI Management,L.P.的普通合夥人為SCChina Holding Limited。SCChina Holding Limited由沈南鵬間接全資擁有。
