交運股份(600676.SH)：控股股東變更為久事集團
格隆匯1月19日丨交運股份(600676.SH)公佈，公司於2021年1月19日接到公司股東上海國盛(集團)有限公司(以下簡稱“國盛集團”)轉來的公司實際控制人上海市國資委《關於上海國盛(集團)有限公司無償劃轉上海交運集團股份有限公司A股股票有關問題的批覆》，同意國盛集團將其持有的公司1.05億股股份(約佔交運股份總股本的10.25%)無償劃轉給公司股東久事集團，同意國盛集團將其持有的公司5000萬股股份(約佔交運股份總股本的4.86%)無償劃轉給上海汽車工業(集團)總公司(以下簡稱“上汽總公司”)。
2021年1月19日，公司亦接到公司股東久事集團轉來的《上海久事(集團)有限公司股東決定》。按照《股東決定》，公司直接控股股東交運集團將其持有的交運股份2.25億股股份(約佔交運股份總股本的21.92%)無償劃轉給久事集團。
上述股份無償劃轉實施前，久事集團直接持有交運股份4294.86萬股股份(約佔交運股份總股本的4.18%注1(含轉融通業務))，通過控股子公司交運集團間接持有交運股份3.28億股股份(約佔交運股份總股本的31.92%)，直接及間接合計持有交運股份3.71億股股份(約佔交運股份總股本的36.10%)。
上述股份無償劃轉完成後，久事集團通過國有股權無償劃轉方式受讓交運集團持有的2.25億股股份(約佔交運股份總股本的21.92%)以及國盛集團持有的交運股份1.05億股股份(約佔交運股份總股本的10.25%)，使得久事集團直接持有交運股份3.74億股股份(約佔交運股份總股本的36.34%)、通過控股子公司交運集團間接持有交運股份1.03億股股份(約佔交運股份總股本的10%)、直接及間接合計持有交運股份4.77億股股份(約佔交運股份總股本的46.34%)。
上述股份無償劃轉的實施將導致公司直接控股股東由交運集團變更為久事集團，交運股份的實際控制人保持不變，仍為上海市國有資產監督管理委員會。
