中信特鋼(000708.SZ)：子公司4億元成功競得電氣鋼管40%股權
格隆匯1月19日丨中信特鋼(000708.SZ)公佈，2021年1月4日，公司召開第九屆董事會第六次會議和第九屆監事會第五次會議，審議並通過了《關於子公司參與競買上海電氣集團鋼管有限公司40%股權的議案》，同意公司全資子公司中信泰富特鋼經貿有限公司(“特鋼經貿”)通過上海聯合產權交易所以公開摘牌的方式參與上海電氣(集團)總公司(“上海電氣”)持有的上海電氣集團鋼管有限公司(“電氣鋼管”)40%股權轉讓項目。
2021年1月8日，公司子公司特鋼經貿收到上海聯合產權交易所通知，特鋼經貿成為上海電氣集團鋼管有限公司40%股權項目受讓方，成功競得標的資產，成交價格為人民幣4.00億元。近日，特鋼經貿與上海電氣簽署了《產權交易合同》。
電氣鋼管是上海電氣為控股天津鋼管制造有限公司(“天津鋼管”)而專門設立的一家控股型公司，其核心資產為所持天津鋼管51.02%的股權。天津鋼管承繼了天津鋼管集團股份有限公司原350萬噸無縫鋼管產能相關核心資產，在能源管方面具有很強的市場競爭力和影響力，產品市場佔有率較高，是我國乃至全球範圍內的無縫鋼管行業領軍企業之一。中信特鋼是特鋼行業內龍頭企業，上海電氣為國內領先的大型綜合性高端裝備製造企業，此次公司收購電氣鋼管40%股權後，各方將結合各自在行業的優勢，充分發揮產業協同和品牌協同效應，共同打造新的利潤增長點。通過此次收購，公司將參與天津鋼管的經營管理，天津鋼管以中薄壁無縫鋼管為主，與公司現有的中厚壁無縫鋼管能夠形成有效互補，有利於完善雙方無縫鋼管的品種結構和規格範圍，共同實現無縫鋼管產銷協同的產業集羣，提升雙方無縫鋼管業務的整體規模和競爭力。
未來公司將通過進一步整合市場資源，加快拓展無縫鋼管板塊戰略佈局，擴大公司在機械加工、石油開採以及能源、汽車、海工等無縫鋼管下游相關行業領域的影響力和市場佔有率，積極打造具有中信特鋼特色的無縫鋼管業務，進一步提升公司無縫鋼管產品的品牌影響力和行業競爭力。
