國能國際資產(00918.HK)擬最高代價1640萬港元收購大灣融通(香港)餘下40%股權
格隆匯 1 月 19日丨國能國際資產(00918.HK)發佈公吿，2021年1月18日，公司與文喜投資管理有限公司作為賣方訂立協議，據此，賣方已有條件同意出售餘下股份，最高代價為1640萬港元。代價將透過公司根據將於股東特別大會上尋求批准的特別授權按發行價每股代價股份0.381港元向賣方(或其代名人)配發及發行最多約4304.46萬股入賬列作繳足代價股份償付。
代價股份包括最多達約4304.46萬股股份，相當於本公吿日期公司現有已發行股本約5.6%及經配發及發行代價股份擴大的已發行股本約5.3%(假設完成前將無任何其他股份發行或購回)。發行價每股代價股份0.381港元較股份於最後交易日在聯交所所報收市價0.365港元溢價約4.4%。
大灣融通(香港)有限公司(“目標公司”)現時為公司擁有60%權益的附屬公司，而目標集團主要從事提供市場推廣及宣傳服務。完成後，目標公司將成為公司的全資附屬公司。目標集團主要從事提供市場推廣及宣傳服務，包括市場行銷和品牌策劃、設計及方案執行；户外廣吿牌及螢幕的代理和發佈；大型活動的執行和製作；及互聯網及新媒體的線上廣吿代理、發佈和視頻製作。其自2020年1月起開始向外部客户提供上述服務。
憑藉集團市場推廣團隊在進行集團成衣業務(銷售及分銷“ACCAPI”及“SuperX”品牌的授權產品)的市場推廣及宣傳活動所積累經驗，目標集團得以發展業務。為配合目標集團向外部客户提供服務的擴展計劃，集團邀請田先生(其在中國的品牌管理以及市場推廣及宣傳服務方面經驗豐富)加入集團，並於2019年12月以代價2.4萬港元(基於目標集團當時資產淨值釐定)將目標公司40%已發行股本轉讓予田先生全資擁有的公司(即賣方)，以共同發展目標集團業務。目標集團自2020年1月起開始於線上及線下平台向外部客户提供市場推廣及宣傳服務，截至2020年12月31日已完成逾20個項目。目標集團的客户包括(其中包括)成衣品牌、消費品、保險代理服務、物業開發、電子商務服務。
