美錦能源(000723.SZ)：擬收購錦輝煤業100%股權
格隆匯 1 月 18日丨美錦能源(000723.SZ)公佈，美錦能源於2021年1月18日與美錦集團、姚俊良、姚俊花、姚俊傑、姚三俊、姚四俊、姚俊卿共同簽署了《關於現金購買山西美錦集團錦輝煤業有限公司股權的股權轉讓協議》，公司擬以現金方式收購美錦集團、姚俊良、姚俊花、姚俊傑、姚三俊、姚四俊、姚俊卿合計持有的錦輝煤業100%股權，此次交易評估機構出具的錦輝煤業100%股權評估值結果為65146.56萬元。標的資產的最終交易價格為上市公司聘請的具備證券期貨從業資格的評估機構確定的標的資產評估價值，即65146.56萬元。此次股權轉讓完成後，公司持有錦輝煤業100%的股權，錦輝煤業將成為公司的全資子公司。
錦輝煤業是山西省煤礦企業兼併重組整合工作領導組辦公室（晉煤重組辦發【2010】24號、79號）核准的整合保留煤礦企業。錦輝煤業主要經營煤炭開採，主要產品為無煙煤。煤礦井田位於山西省交城縣嶺底鄉安家溝村、上莊頭村至狐爺山一帶，行政區劃屬交城縣管轄。根據山西省自然資源廳於2020年8月6日核發的證號為C1400002012011220128687的《採礦許可證》，開採礦種為“煤、2#-9#（煤層）”，開採方式為地下開採，生產規模為90萬噸/年，礦區面積為20.5256平方公里，由42個拐點座標圈定。
錦輝煤礦井下佈置有一個首回採工作面和兩個掘進工作面。首採工作面採用傾斜長壁後退式綜採一次採全高採煤方法，頂板管理均採用全部垮落法。礦井建有35kV變電站、10kV變電所各一座。35kV變電站雙迴路供電，一趟引自距礦10.2km的水峪貫110kV變電站35kVII段母線；另一趟引自距礦20km的西社110kV變電站35kVI段母線，滿足安全生產需求。錦輝煤礦2號煤層為低灰～中高灰，特低硫～中高硫，中發熱量～高發熱量的無煙煤；3號煤層為低灰～中高灰，特低硫～中高硫，低發熱量～高發熱量的無煙煤；8號煤層為低灰～中高灰，特低硫～高硫，低發熱量～高發熱量的無煙煤。2、3、8號煤層屬於特殊稀缺煤種，可作為化工用煤、動力用煤及民用煤。
無煙煤擁有“清潔炭”、“潔淨炭”的美譽，可廣泛應用於冶金行業，且優勢明顯。研究表明，轉爐中使用無煙煤，有利於降低鐵水消耗，提高廢鋼比；電爐中使用無煙煤，能有效增加熔池碳量，降低電耗和鋼鐵料消耗。無煙煤可在高爐、熔分爐中部分替代焦炭，性價比更高，是難得的清潔高效還原燃料。同時，無煙煤由於含碳量較高，在未來炭基新材料領域也有着非常廣闊的發展前景。面對“十四五”煤炭工業高質量發展的大趨勢，無煙煤將以其高效、潔淨、綠色、環保的獨特優勢，迎來高質量發展的機遇期，進一步佔領化工、冶金、煉焦市場，並打開炭基新材料的廣闊天地，搶佔未來煤炭多領域清潔高效利用發展先機。
