哈工智能(000584.SZ)：擬收購江機民科97.9626%股權 可能構成重大資產重組
格隆匯 1 月 17日丨哈工智能(000584.SZ)公佈，公司擬收購交易對方劉延中持有的吉林市江機民科實業有限公司(“江機民科”或“標的公司”)97.9626%股權。此次交易尚處於初步籌劃階段，具體交易方案仍需進一步協商論證，此次簽署的《資產購買意向協議》僅為意向性協議，旨在表達各方的合作意願及初步商洽結果，具體的交易方案及交易條款以各方簽署的正式協議為準。
江機民科主要從事武器裝備系統用光電產品、航材、熱電池、軍用機電組件、非標儀器研發等軍品，以及石油射孔彈及射孔槍等產品的研發、生產及銷售，其中核心產品紅外瞄具產品已批量生產供貨；其主要客户有部隊、科研院所、大型軍工企業及高校等單位；目前已形成主要包括光電、熱電池、引信、航材、非標檢測設備和射孔等主要產品系列。
公司擬收購劉延中持有的標的公司97.9626%股權。此次交易標的公司100%股權估值預計不超過14億元，最終交易價格應以具有證券從業資格的評估機構對標的資產在評估基準日的價值進行評估而出具的資產評估報吿所確定的評估值為依據。
此次交易不構成關聯交易。根據初步研究和測算，公司此次收購江機民科97.9626%股權事項可能構成《上市公司重大資產重組管理辦法》規定的重大資產重組。待中介機構出具審計評估報吿、法律意見書及重組報吿書後，尚需提交公司董事會及股東大會審議，此次所籌劃的交易事項能否按預期順利開展、能否獲得上述批准以及最終獲批的時間尚存在不確定性。
通過此次收購，一方面可以使公司快速切入軍工行業，進入具備廣闊市場前景和較高准入壁壘的紅外、熱電池及火工等軍用產品領域；另一方面，江機民科可以與公司子公司浙江瑞弗機電股份有限公司在軍工業務領域產生協同效應，推動公司實現多元化發展。此次交易有利於公司更好地優化整體資源配置，增加公司新的業績增長點，此次交易符合公司聚焦實業的發展思路和“為中國智能製造奮勇擔當”的戰略思想。
