英唐智控(300131.SZ)擬收購上海芯石40%股權
格隆匯1月15日丨英唐智控(300131.SZ)公佈，2020年3月3日，公司第四屆董事會第二十八次會議審議通過了《關於簽署的議案》，為貫徹並實施公司向上遊半導體縱向延伸的戰略佈局，公司與Chang York Yuan(以下簡稱“張遠”)、GTech Systems Group Inc.,(以下簡稱“GTSGI”)簽署《合作協議》，在半導體投資、研發設計、生產製造等方面進行深度合作，根據《合作協議》，公司應於英唐微技術有限公司(以下簡稱“英唐微技術”或“MTC”)股權收購交割日起30天內受讓上海芯石10%-20%的股權。
為更好的匹配公司的戰略佈局，實現公司與上海芯石利益的高度統一，並深度綁定上海芯石管理及技術團隊。自公司收購完成英唐微技術後，公司與原上海芯石控股股東北京吉泰科源科技有限公司(以下簡稱“吉泰科源”)、吉泰科源股東以及原《合作協議》各簽署方一直就參股上海芯石10%-20%股權的方案升級為收購其多數股權並實現控股的方案進行協商。2020年11月16日，各方簽訂了《關於的補充協議》，就控股方案達成初步意見。
2021年1月15日，公司與上海芯石簽訂了《認購協議》，約定公司以人民幣6928.7925萬元的價格認購上海芯石非公開發行的284.55萬股股份，佔股份發行完成後上海芯石總股本1724.55萬股的16.5%；與現任大股東羽競赫甡新技術開發(上海)中心(有限合夥)(以下簡稱“羽競赫甡”)及吉泰科源簽訂了《股份轉讓協議》，以人民幣9868.3245萬元的價格受讓羽競赫甡持有的上海芯石405.27萬股股份，佔前述股份發行完成後上海芯石總股本1724.55萬股的23.5%。交易完成後，公司將合計持有上海芯石股份689.82萬股，佔其總股本的40%，為第一大股東。根據約定，公司還將獲得上海芯石過半數董事席位，其董事長、財務負責人將由公司推薦人員擔任，屆時公司將實現對上海芯石的控股。
