博世科(300422.SZ)：擬與廣州環投集團組成聯合體參與南寧武鳴區PPP項目投標並共同設立項目公司
格隆匯 1 月 14日丨博世科(300422.SZ)公佈，公司及公司的全資子公司湖南博世科環保科技有限公司(“湖南博世科”)擬與廣州環保投資集團有限公司(“廣州環投集團”)簽訂《聯合體協議書》，組成投標聯合體(“聯合體”)參與“南寧市武鳴區農村生活給排水及水環境綜合改善PPP項目”(“南寧武鳴區PPP項目”或“該項目”)的招投標。如該項目中標，聯合體將與政府出資方共同出資組建項目公司。
由於廣州環投集團現任董事長劉先榮先生系公司的現任非獨立董事，同時，廣州環投集團已於2020年12月31日與公司共同實際控制人簽署了《廣州環保投資集團有限公司與王雙飛、宋海農、楊崎峯、許開紹關於轉讓所持廣西博世科環保科技股份有限公司股份之股份轉讓協議》，並與王雙飛先生簽署了附條件生效的《表決權委託協議》。若此次交易最終實施完成，廣州環投集團將成為公司第一大股東，公司實際控制人將變更為廣州市人民政府。
綜上，廣州環投集團為公司的關聯方，公司、湖南博世科與廣州環投集團簽訂《聯合體協議書》及後續共同出資設立項目公司構成關聯交易。
項目名稱：南寧市武鳴區農村生活給排水及水環境綜合改善PPP項目；項目建設地點：(1)新建污水處理項目涵蓋武鳴區13個鎮，共700個屯完成680座污水處理站的建設。分別為：靈馬鎮、寧武鎮、馬頭鎮、鑼圩鎮、府城鎮、太平鎮、兩江鎮、陸斡鎮、仙湖鎮、城廂鎮、甘圩鎮、雙橋鎮、羅波鎮。(2)存量項目位於雙橋鎮、羅坡鎮、仙湖鎮、府城鎮、陸斡鎮、城廂鎮、馬頭鎮、太平鎮、鑼圩鎮、兩江鎮、寧武鎮、甘圩鎮12個鎮。項目總投資：項目總投資估算為11.42億元。
根據該項目的招標公吿，項目公司暫定註冊資本金為2.28億元，約佔項目總投資20.00%。廣州環投集團認繳出資項目公司註冊資本的85%，持有項目公司85%的股權；博世科認繳出資項目公司註冊資本的4.90%，持有項目公司4.90%的股權；湖南博世科認繳出資項目公司註冊資本的0.10%，持有項目公司0.10%的股權。
