皇冠環球集團(00727.HK)股東20.2億股公司股份被委任接管人或觸發強制性全面要約 明日復牌
格隆匯1月13日丨皇冠環球集團(00727.HK)發佈公吿，公司獲吿知，安邁顧問有限公司的杜艾迪先生、楊美莉女士及楊嘉敏女士已於2020年12月21日獲Fresh Idea Ventures Limited（債權人）委任為合共20.2億股公司股份的共同及個別接管人及管理人，該等股份分別由皇冠國際集團有限公司及皇冠置地集團有限公司實益擁有。相關股份佔公司於本公吿日期已發行股本約58.86%。
於2016年1月12日，皇冠國際集團（當時由Redstone Capital Corporation全資實益擁有）（作為客户）與華融國際證券有限公司（作為經紀）訂立孖展融資協議，據此，華融國際證券同意就於華融國際證券開設的孖展證券賬户向皇冠國際集團提供孖展融資。Redstone由公司主席兼行政總裁熊敏女士全資實益擁有。於2019年7月26日，Redstone將於皇冠國際集團的全部已發行股本出售及轉讓予Topper Alliance Limited（一間由董峯先生全資實益擁有的公司），代價為100萬美元，而Topper Alliance應負責於18個月內償還當時尚未償還的孖展貸款（其於轉讓時約為5.28億港元）、將予產生的進一步利息及皇冠國際集團結欠華融國際證券的相關成本，作為所導致的間接轉讓皇冠國際集團持有的8億股公司股份的代價。
在華融國際證券倡議下，於2020年6月29日，華融國際證券將(i)皇冠國際集團於孖展貸款及孖展證券賬户項下或與此有關的結欠華融國際證券的所有金額轉讓予債權人，於2020年6月29日的金額約為4.97億港元，將應債權人的要求到期及應付；及華融國際證券於孖展貸款及孖展證券賬户項下或與此有關的所有當時現有證券權益、擔保人抵押以及所有其他權利、權益、補償及利益。於轉讓後，相關股份已由皇冠國際集團及皇冠置地集團根據兩份日期均為2020年6月29日的抵押契據以債權人為受益人作抵押，作為該債務的抵押。
於2020年12月4日，債權人要求即時償還該債務並表明倘於2020年12月8日前並未償還該債務，債權人將採取強制執行行動，而該債務於本公吿日期已逾期。
委任接管人可能導致向其他第三方買方出售相關股份，而倘任何買方連同其一致行動人士於收購相關股份後擁有公司30%或以上投票權權益，則可能觸發收購守則項下的強制性全面要約。公司已獲接管人吿知，於本公吿日期，接管人正處於接管相關股份的初期準備階段，且尚未物色任何潛在買方。
此外，公司股票將於2021年1月14日復牌。
