三連板的ST華鼎(601113.SH)提示風險
格隆匯 1 月 13日丨ST華鼎(601113.SH)公佈，公司股票價格近期漲幅較大，截止2021年1月13日，公司股票收盤價格為3.15元/股，連續三個交易日漲停，波動較大。
經公司自查，並向公司控股股東及實際控制人發函詢問核實，截至本公吿披露日，公司及控股股東不存在按照《上海證券交易所股票上市規則》等有關規定應披露而未披露的事項，包括但不限於重大資產重組、發行股份、上市公司收購、債務重組、業務重組、資產剝離和資產注入等重大事項。
現就相關風險提示如下，請投資者理性投資，注意投資風險。
一、因公司涉嫌信息披露違法違規，於2019年12月26日收到中國證券監督管理委員會《調查通知書》（浙證調查字2019426號），根據《中華人民共和國證券法》等有關規定，中國證監會決定對公司進行立案調查。截至公吿日，中國證監會的調查尚在進行中，公司尚未收到就上述立案調查事項的結論性意見或決定。
二、公司因存在控股股東資金佔用情形，根據上海證券交易所《股票上市規則》規定，自2019年10月9日起，公司股票被上海證券交易所實施其他風險警示。目前公司尚未收到歸還的資金佔用本金及利息。為解決資金佔用問題，控股股東正積極與多家外部投資者展開有效接洽並接受盡調中，目前尚未有實質性進展，尚未簽署任何相關協議。
三、公司因涉嫌違規借款及違規擔保，債權人對公司提起訴訟的案件，一案移送公安機關處理，一案仍在訴訟過程中，違規擔保、違規借款涉訴應承擔的責任需根據人民法院的最終判決認定。(詳見公吿：2020-070)
四、2019年度公司商譽發生大額減值，及控股股東佔用資金計提全額減值，歸屬於上市公司股東的淨利潤和扣除非經常性損益的淨利潤均大幅下降，歸屬於上市公司股東的淨利潤為-132,145.59萬元，同比減少606.31%，扣除非經常性損益的淨利潤為-67,868.52萬元，同比減少596.91%。截至2020年9月30日，公司歸屬於上市公司股東的淨利潤為11,989.78萬元，同比減少53.77%，扣除非經常性損益的淨利潤為8,633.63萬元，同比減少47.98%。
五、目前控股股東三鼎控股集團有限公司所持公司股份已全部被司法凍結且存在輪候凍結，實際控制人丁志民、丁爾民被採取取保候審的司法措施，相關事項尚待公安機關進一步調查。(詳見公吿：2020-054、2020-065)
