海南發展(002163.SZ)：法院裁定受理航空工業通飛對海南特玻的重整申請
格隆匯 1 月 12日丨海南發展(002163.SZ)公佈，之前公吿披露，2020年8月，公司參股子公司海南中航特玻材料有限公司(“海南特玻”)為避免經營和財務狀況持續惡化導致破產清算等情況，經海南特玻2020年第十次臨時股東會審議同意，海南特玻啟動破產重整事項工作。
近日，海南特玻收到海南省第一中級人民法院民事裁定書，裁定同意受理中航通用飛機有限責任公司(“航空工業通飛”)對海南特玻的重整申請，並指定海南省澄邁縣人民法院作為審理法院。
目前海南特玻生產線未停產，仍在生產經營。由於海南特玻破產重整方案尚未明確，截至目前，公司對海南特玻尚有以下事項：
1、因子公司海南海控龍馬礦業有限公司(“龍馬礦”)對海南特玻在澄邁農行貸款提供擔保，2020年10月28日龍馬礦代海南特玻向澄邁農行償還人民幣3594萬元貸款本金及利息。該擔保事項已履行完畢，公司將根據龍馬礦與海南特玻簽訂的反擔保協議，積極按照法律法規通過司法程序以及其他方式追償海南特玻債務責任。詳見公司2020年10月31日對外披露的2020-088號公吿。
2、關於公司原控股股東航空工業通飛為海南特玻在農行澄邁縣支行貸款提供人民幣79760萬元的擔保責任，公司為此向航空工業通飛提供反擔保。該事項截至2020年9月11日，航空工業通飛已累計向農行澄邁縣支行代海南特玻清償到期銀行貸款本金及利息人民幣850,005,487.59元，航空工業通飛對該擔保義務已履行完畢。根據公司與航空工業通飛簽訂的《<反擔保合同>之補充協議》，公司對航空工業通飛承擔的反擔保責任範圍為石巖項目取得的產權和收益權，該反擔保責任尚不具備履行的條件，不影響公司的正常生產經營。詳見公司2020年11月14日對外披露的2020-090號公吿。
3、截至2020年12月31日，公司對海南特玻應收賬款為人民幣559.07萬元。
公司將按照《企業會計準則》的有關要求合理對上述事項進行賬務處理，最終以年審會計師審計結果為準。
