高山企業(00616.HK)：悉數贖回未償還Madian可換股票據及相關利息
格隆匯 1 月 11日丨高山企業(00616.HK)公佈，於2015年6月12日，公司向Madian Star Limited("票據持有人")發行初始本金金額為8600萬港元於2017年6月12日到期的2釐票面息率可換股票據("Madian可換股票據")，每股兑換股份初始兑換價為0.85港元。由於公司完成股本重組及供股，兑換價於2015年10月14日自動調整為1.81港元。
於2016年1月7日舉行的公司股東特別大會上，兑換價獲股東批准從1.81港元修訂為0.33港元。
於2017年4月26日舉行的公司股東特別大會上，修訂獲股東批准，包括將Madian可換股票據的到期日延至2022年6月12日，兑換價從0.33港元修訂為0.16港元，並將年利率從2釐提高至3釐。
於2019年5月21日舉行的本公司股東特別大會上，兑換價獲股東批准從0.16港元修訂為0.06港元。
票據持有人分別於2019年5月27日及2019年8月2日分別進行840萬港元及3720萬港元的部分兑換。在第二部分兑換後，Madian可換股票據的未償還本金金額為4040萬港元。
因公司完成股份合併及供股，兑換價分別自2020年1月8日起自動調整為1.20港元，並自2020年2月12日起進一步調整為0.9855港元。
於2021年1月11日，票據持有人已根據Madian可換股票據行使其權利，要求公司提早贖回Madian可換股票據，而公司於2021年1月11悉數贖回未償還Madian可換股票據連同所有應計未付利息。緊接贖回前，Madian可換股票據的未償還本金總額為4040萬港元。贖回應付總金額以公司的資產結算。Madian可換股票據現已註銷，公司已解除Madian可換股票據及其項下之任何所有義務。Madian可換股票據項下之兑換權已失效。
