五糧液(000858.SZ)：“五糧液第二十四屆1218共商共建共享大會”所涉信息在相關期間內未對公司股票交易產生重大影響
格隆匯1月7日丨五糧液(000858.SZ)對關注函相關事項回覆稱，四川省宜賓五糧液集團有限公司(“五糧液集團”)是多元化發展的大型國有企業集團，產業佈局上涵蓋酒業及大機械、大包裝、大物流、大金融、大健康五大板塊，涉及10大產業門類。近幾年，五糧液集團收入、利潤保持了持續快速增長，2019年營業收入1080.26億元。
2015年-2019年，公司營業收入佔五糧液集團的比重為33.2%-46.4%，淨利潤佔五糧液集團的比重為87.1%-95.6%。公司在2019年度報吿中公開披露“2020年公司經營目標：營業總收入實現兩位數增長”；公司於2020年10月30日披露的第三季度報吿顯示，2020年1-9月營業收入同比增長14.53%。五糧液集團涵蓋行業門類較多，所屬行業週期不同，各行業子公司業績變動大，通過五糧液集團營業收入超1100億元，難以準確推斷公司經營業績數據。
2020年12月18日，五糧液股價下跌0.34%、中證白酒指數上漲0.26%；五糧液股票成交量1508萬股低於1218大會前月成交量均值1536萬股；其後的11個交易日(截至1月4日)五糧液股價日漲跌幅均未超過4%，漲跌幅絕對值的均值1.49%低於中證白酒指數漲跌幅絕對值的均值1.8%。“五糧液第二十四屆1218共商共建共享大會”所涉及信息在上述期間內未對公司股票交易產生重大影響。
2021年1月5日-6日，公司要求7名董事、5名監事、6名高級管理人員及直系親屬(配偶、父母、成年子女)，財務管理部、董事會辦公室、監事會辦公室相關內幕信息知情人進行自查，上述人員分別簽署《自查聲明》。經自查，公司董事、監事、高級管理人員、其他內幕信息知情人及直系親屬(配偶、父母、成年子女)在2020年10月30日至12月18日期間，不存在泄露內幕信息或利用內幕信息進行證券交易五糧液股票的情形。
新《證券法》剛實施後不久，公司於2020年4月24日專門邀請中國法學會商法學研究會和證券法研究會專家就新《證券法》向公司控股股東、全體董事、監事、高級管理人員及相關職能部門人員作專題培訓，強化上市公司規範運作意識和風險防控意識。
