麗鵬股份(002374.SZ)：子公司簽訂工程還款框架協議
格隆匯 1 月 7日丨麗鵬股份(002374.SZ)公佈，近日，公司全資子公司重慶華宇園林有限公司(“乙方”)與遵義市紅花崗區深溪鎮人民政府、遵義市紅花崗區城市建設投資經營有限公司(“紅花崗城投”，與遵義市紅花崗區深溪鎮人民政府統稱“甲方”)簽訂了《工程還款框架協議》。
根據甲乙雙方於2015年簽訂的《深溪河濕地公園工程建設項目設計施工一體化合同協議書》、《南宮山螞蟻河沿河景觀工程項目施工合同》，由乙方承建深溪河濕地公園工程建設項目(“深溪河項目”)及南宮山螞蟻河沿河景觀工程項目(“螞蟻河項目”)，合同總金額為23665.01萬元。其中，深溪河項目合同金額16153萬元，甲方剩餘未支付工程款金額為7259.6萬元；螞蟻河項目合同金額為7512.01萬元，按合同金額應欠工程款為2754.467萬元，該項目審計金額為12456.99萬元(含超建工程)，在施工過程中，由於現場工程量發生變化，超建工程金額4944.98萬元。經甲乙雙方協商一致，達成本協議，主要內容如下：
1、甲方於2021年1月31日之前支付工程款不低於3500萬元(其中：深溪河項目2247.93萬元，螞蟻河項目1252.07萬元)。甲方在考慮到雙方繼續深化合作的基礎上，春節前積極統籌資金，儘可能多的支付部分無爭議工程款。
2、上述項目的剩餘工程款，甲方將遵南首府旁四幅地塊作為還款託底，專項用於乙方化債，所獲土地出讓金不低於50%用於抵償欠款。
3、未確認款項，包含深溪河項目工程財務費用及税金、螞蟻河項目超建部分及其財務費用，於2021年1月31日前完成甲方內部相關手續及雙方協商確認工作，其中相關財務費用及税金在正式協議中予以確定。
4、甲方可以通過金融化債和土地化債等形式，提前將雙方已確認的款項結清，且甲方承諾於2022年6月底之前付清。
5、若甲方在2022年6月底之前，無法將深溪河項目及深溪河項目剩餘工程款項及財務費用等全部支付完畢，甲方承擔違約責任，甲乙雙方在正式協議中應明確違約責任。
