民生教育(1569.HK)：收購都學網絡+電大在線，深度佈局成人在線教育，給予“買入”評級

成收購都學網絡科技（北京）有限公司60%股權
10月14日，公司公吿宣佈民晟智才收購瑞昌安瑞持有的都學網絡60%的股權，對價為都學網絡2020年和2021年兩個年度的扣非歸母淨利潤平均值的12倍確定的公司估值乘以60%，即人民幣2.48億元（可予以調整，最高不超過人民幣2.88億元）。都學網絡的業績自2020年12月13日起合併至民生教育。
都學網絡作為“都學課堂”及“MBACHINA”的實際運營主體，主要提供工商管理碩士類在線教育業務及教育信息化服務業務，其中包括管理類聯考、國際項目、選校諮詢、考前培訓、海外商學院、論文寫作培訓、博士申請服務等。
截至2020年7月31日，(i)與都學網絡合作的商學院累計200多家，包括北京大學匯豐商學院、清華大學五道口金融學院、長江商學院、復旦大學泛海國際金融學院、上海交通大學安泰經濟與管理學院、香港大學及香港科技大學等知名商學院；及(ii)都學課堂及MBACHINA累計註冊用户人數約190萬人，2020年新增註冊用户人數約15.9萬人，新增付費用户約9.8萬人。
收購電大在線遠程教育技術有限公司50%股權
12月28日，公司公吿稱北京民晟（本公司的一家間接全資子公司）作為意向受讓方，申請受讓由國開祥雲持有電大在線50%的股權，轉讓底價為人民幣4.1億元。本次收購事項完成後，公司將持有電大在線100%的股權，電大在線將成為公司的間接全資子公司及其財務業績將全部合併至公司。
電大在線成立於2001年，是全國性遠程教育公共服務體系的運營商，主要從事國內軟件開發、生產計算機軟、硬件、遠程教育軟件；信息網絡的技術開發等業務。截至公吿日期，電大在線持有奧鵬教育100%的股權。
電大在線全資子公司奧鵬教育(i)與包括北京大學、南開大學、天津大學、北京師範大學等在內的30餘所國內知名大學開展網絡教育合作，提供數百種本專科專業，在籍學歷學生約100萬人，有遍佈全國31個省（自治區、直轄市）的1,800多家學習中心；(ii)與9所開放大學開展合作辦學；(iii)於2020年全年累計培訓教師約290萬人次；(iv)旗下慕課網提供3,000多門課程，累計用户逾2,000萬人；(v)組織實施網絡教育全國統一考試年均考量約200萬人次，課程考試和社會化考試年均考量約460萬人次，是中國最大的遠程教育服務運營機構。
上調盈利預測，給予買入評級
考慮到都學網絡和電大在線的並表，我們上調2021年民生教育盈利預測，原FY20-21年歸母淨利為4.1億人民幣、5.0億人民幣，上調後為4.1億人民幣、6.6億人民幣，對應PE分別為9.4xPE、6.6xPE。
風險提示：民促法實施條例尚未落地，轉為營利性資產税收土地成本上升；核心人員流失風險；電大在線交易事項進展不確定性。
